Rhea-AI Filing Summary

Apogee Enterprises, Inc. extended Donald A. Nolan’s employment from November 1, 2026, through April 30, 2027. Nolan will continue as Chief Executive Officer and Executive Chair during the extended term while the Board continues its search for the company’s next long-term Chief Executive Officer.

Nolan will continue to receive an annualized base salary of $925,000. He is also eligible for a transition bonus of up to $250,000, a one-time $25,000 cash payment for travel and lodging, and monthly grants of time-based restricted stock units. Those grants have an annualized target grant-date value of $1,750,000, prorated for the period he serves as CEO; each monthly grant has a target grant-date value of $145,834 and vests on its first anniversary, subject to applicable conditions. When a permanent CEO begins employment, Nolan will cease serving as CEO and remain an employee and Executive Chair through the end of the extended term.

Filing Explained

The extension leaves Nolan’s previously granted restricted stock units eligible to vest, subject to the applicable continued-service conditions; these are separate from the new monthly awards.

time-based restricted stock units financial
"monthly grants of time-based restricted stock units"
Time-based restricted stock units are a form of employee compensation where individuals are granted company shares that are earned over a set period, often as a reward for staying with the company. These shares typically become fully owned and transferable only after passing specific time milestones, encouraging long-term commitment. For investors, they highlight a company's focus on employee retention and can influence future stock supply and company stability.
grant-date value financial
"target grant-date value of $1,750,000"
vesting conditions financial
"subject to the applicable vesting conditions"
Vesting conditions are the rules that determine when someone earning company stock or stock options actually gains the right to keep or sell them, typically based on staying with the company for a set time or meeting performance targets. Think of it like keys that unlock gradually — some unlock by calendar date, others only after agreed milestones. Investors care because vesting shapes management incentives, the timing of share sales, and the number of shares that can enter the market, which can affect a company's valuation and ownership mix.
