Rhea-AI Filing Summary

Aquestive Therapeutics, Inc. (AQST) amended and restated its bylaws, effective October 15, 2026, revising requirements for stockholder nominations to the Board. The changes eliminate a requirement to provide information about certain relationships between the nominating stockholder or a Stockholder Associated Person and people acting in concert with the proposed nominee, the nominee’s immediate family, and the nominee’s affiliates and associates. The bylaws also revise the definition of “Stockholder Associated Person” to exclude persons acting in concert with nominating stockholders or beneficial owners on whose behalf nominations or proposals are brought. Technical, conforming and non-substantive changes were also made.

Stockholder Associated Person regulatory
"revisions to the definition of “Stockholder Associated Person”"
acting in concert regulatory
"persons “acting in concert with” nominating stockholders"
When investors or shareholders are "acting in concert," they are coordinating their decisions—like votes, buying or selling shares, or public statements—to achieve a common goal, such as gaining control or influencing company policy. This matters to investors because coordinated groups can change who runs a company or sway key votes, and regulators often treat them as a single party for disclosure, takeover rules, and voting thresholds; think of several teammates pooling their efforts to tip the outcome of a close game.
beneficial owners regulatory
"beneficial owners of Aquestive stock"
Beneficial owners are the people or entities that actually enjoy the economic benefits and control of shares or other assets, even when legal title is held by someone else such as a broker, custodian or trustee. Investors pay attention because beneficial owners hold the real voting power, receive dividends and can influence strategy and takeover outcomes — like the driver of a car who uses and maintains it while the bank holds the title — so disclosure shows who truly controls and benefits.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 15, 2026, the Board of Directors (the “Board”) of Aquestive Therapeutics, Inc. (the “Company”), in connection with its periodic review of corporate governance matters, approved and adopted amended and restated bylaws (the "Amended Bylaws"), effective October 15, 2026. Specifically, Article I, Section 11 of the Prior Bylaws, which sets forth requirements for stockholder nominations of candidates for election to the Board, has been amended to eliminate the requirement that the proposing stockholder provide information concerning certain relationships between the nominating stockholder and any Stockholder Associated Person (as defined in the Amended Bylaws), on the one hand, and “others acting in concert with” the proposed nominee, any member of the immediate family of the proposed nominee, and the proposed nominee’s respective affiliates and associates, on the other hand. Corresponding revisions were approved to the definition of “Stockholder Associated Person” to eliminate persons “acting in concert with” nominating stockholders or beneficial owners of Aquestive stock on whose behalf stockholder nominations or proposals are brought. In addition, the Prior Bylaws were amended to make certain technical, conforming and non-substantive changes.
