Rhea-AI Filing Summary

American Resources Corp (AREC) disclosed that on August 20, 2026 it received a notice from Nasdaq that it is not in compliance with Nasdaq Listing Rule 5250(c)(1) because it has not timely filed its Quarterly Report on Form 10‑Q for the quarter ended June 30, 2026. The company had already been delinquent on its Form 10‑Q for the quarter ended March 31, 2026, for which Nasdaq had granted an extension to October 15, 2026. The new notice does not immediately affect the listing or trading of its common stock on the Nasdaq Capital Market. American Resources must amend its existing compliance plan to address the additional June 30, 2026 Form 10‑Q delinquency and submit this amendment to Nasdaq by September 4, 2026; if accepted, any extension for the June 30 filing would run only through October 15, 2026.

Positive

  • None.

Negative

  • Noncompliance with Nasdaq reporting rule: The company is not in compliance with Nasdaq Listing Rule 5250(c)(1) due to missing Form 10‑Q filings for quarters ended March 31 and June 30, 2026, creating a risk to its continued Nasdaq listing if compliance is not restored.
  • Compressed remediation timeline: Any Nasdaq‑approved plan can extend the deadline for both delinquent Form 10‑Qs only to October 15, 2026, limiting the time available to cure the reporting deficiencies.

Nasdaq Listing Rule 5250(c)(1) regulatory
"not in compliance with Nasdaq Listing Rule 5250(c)(1) due to the Company’s failure"
Nasdaq Listing Rule 5250(c)(1) requires companies listed on the Nasdaq stock exchange to promptly notify the exchange if their stock price falls below a certain minimum level, known as the "initial listing standards." This rule helps ensure that investors are aware of significant declines in a company's stock value, which could signal financial trouble or increased risk. Essentially, it helps maintain transparency and protect investors by keeping them informed about important changes in a company's stock performance.
Nasdaq Capital Market market
"effect on the listing or trading of the Company’s common stock on The Nasdaq Capital Market"
The Nasdaq Capital Market is a platform where smaller, emerging companies can list their shares for trading by investors. It provides these companies with access to funding and visibility, helping them grow, much like a local marketplace where new vendors can introduce their products to potential customers. For investors, it offers opportunities to discover early-stage companies with growth potential.
Quarterly Report on Form 10-Q regulatory
"failure to timely file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2026"
A quarterly report on Form 10-Q is a standardized financial filing public companies must submit to U.S. regulators every three months, summarizing recent financial results, cash flows, balance sheet changes, operations and material risks or legal developments. Investors treat it like a company report card that shows up-to-date facts rather than marketing copy, helping them track performance, spot trends, reassess risk and make buy or sell decisions.
continued listing regulatory
"Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard"
When a stock receives a "continued listing," it means the exchange has decided the company’s shares will remain tradable on that market after a review or challenge, often because the company met certain requirements or corrective steps. For investors this matters because continued listing preserves liquidity and access to buy or sell the stock—think of it as a store passing an inspection so customers can keep shopping rather than being forced to close.

FAQ

Why did American Resources Corp (AREC) receive a Nasdaq noncompliance notice?

American Resources Corp received a notice because it failed to timely file its Form 10‑Q for the quarter ended June 30, 2026, violating Nasdaq Listing Rule 5250(c)(1). It was already delinquent on its Form 10‑Q for the quarter ended March 31, 2026.

Does the Nasdaq notice immediately affect AREC’s Nasdaq Capital Market listing?

No. The company states the Nasdaq notification has no immediate effect on the listing or trading of its common stock on the Nasdaq Capital Market. The risk would arise if it fails to regain compliance within the allowed timeframe.

What deadlines has Nasdaq given American Resources Corp (AREC) to address the filing delinquencies?

Nasdaq granted American Resources until October 15, 2026 to file the Form 10‑Q for the quarter ended March 31, 2026. The company must submit an amended plan addressing the June 30, 2026 Form 10‑Q delinquency by September 4, 2026.

Which SEC reports is American Resources Corp (AREC) currently delinquent on?

The company is delinquent on two Quarterly Reports on Form 10‑Q: one for the quarter ended March 31, 2026 and another for the quarter ended June 30, 2026, prompting Nasdaq’s noncompliance notice under Listing Rule 5250(c)(1).

What is Nasdaq Listing Rule 5250(c)(1) referenced by AREC?

Nasdaq Listing Rule 5250(c)(1) requires timely filing of periodic financial reports, such as Forms 10‑Q and 10‑K, with the SEC. American Resources Corp is currently noncompliant because it has not timely filed its June 30, 2026 Form 10‑Q.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard

On August 20, 2026, American Resources Corporation (the “Company”) received a letter from The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it is not in compliance with Nasdaq Listing Rule 5250(c)(1) due to the Company’s failure to timely file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2026 (the “June Form 10-Q”).

The notification has no immediate effect on the listing or trading of the Company’s common stock on The Nasdaq Capital Market. Previously, in connection with the Company’s failure to file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2026 (the “March Form 10-Q”), Nasdaq had granted the Company until October 15, 2026 to file the March Form 10-Q. The Company is required to amend its original plan to address the March Form10-Q filing delinquency to now address the June Form 10-Q filing delinquency and submit such amendment to Nasdaq no later than September 4, 2026. Because the March Form 10-Q remains delinquent, however, if the Staff accepts the proposed amended plan, the maximum period that the Staff may grant the Company to address the June Form 10-Q filing delinquency would be to October 15, 2026.
