Rhea-AI Filing Summary

Asure Software, Inc. (ASUR) entered into a senior credit facility of up to $115 million on October 15, 2026, comprising an $85 million initial term loan drawn at closing, a $10 million revolving facility and a $20 million delayed-draw term loan facility. The agreement permits up to $30 million of additional term loans or revolving increases, subject to its conditions. The initial loan’s first three-month Term SOFR rate is 7.04249%, reflecting Term SOFR plus 3.00%. Quarterly principal payments begin April 1, 2027, with the remaining Initial Loan Balance due October 15, 2031. The facility is secured by substantially all company assets and has quarterly covenants requiring a Consolidated Net Leverage Ratio no greater than 3.50:1.00 and a Consolidated Fixed Charge Coverage Ratio of at least 1.25:1.00.

At closing, Asure paid approximately $62.6 million to repay obligations to MidCap Financial Trust under its prior credit agreement and note. It acquired assets of a payroll-processing business primarily in the southeastern United States for $26.5 million: $13.5 million cash, a $3.0 million promissory note due April 15, 2028 at 3.00%, and 1,206,141 newly issued shares valued at $8.29 each, or $10 million in aggregate. The purchase price is subject to future adjustments, including working capital.

Filing Explained

Asure completed the asset acquisition on October 15, 2026, paying part of the purchase price with 1,206,141 newly issued common shares. Issuing those shares increases the share count and reduces existing holders’ percentage ownership absent offsetting changes.

Term SOFR financial
"Term SOFR plus three percent (3.00%)"
Term SOFR is a benchmark interest rate that reflects the cost of borrowing money over a specific period, based on actual transactions in the financial markets. It is used by lenders and borrowers to set the interest rates on loans and financial contracts, helping to ensure rates are fair and transparent. For investors, understanding term SOFR helps gauge borrowing costs and the overall direction of interest rates in the economy.
delayed-draw term loan facility financial
"$20.0 million delayed-draw term loan facility"
A delayed-draw term loan facility is a committed loan arrangement where lenders agree in advance to make a fixed amount of cash available for the borrower to draw down at one or more specified future dates, typically after certain conditions are met. It matters to investors because tapping that reserved funding increases a company's debt, interest costs and liquidity buffers—similar to activating a reserved emergency account for a big purchase—which can affect leverage, creditworthiness and the stock’s risk profile.
Consolidated Net Leverage Ratio financial
"Consolidated Net Leverage Ratio, as tested quarterly"
The consolidated net leverage ratio measures how much debt a company carries compared with the cash it generates from core operations, calculated by taking total borrowings minus cash and dividing by annual operating profit. Like comparing a household’s mortgage balance to its yearly income, it tells investors how many years of operating profit would be needed to pay off net debt and thus gauges financial risk, flexibility to invest, and capacity to weather downturns.
Consolidated Fixed Charge Coverage Ratio financial
"Consolidated Fixed Charge Coverage Ratio, as tested quarterly"
Permitted Acquisitions financial
"payment of consideration in connection with Permitted Acquisitions"
