The consulting fee is separate from the $10,000 monthly fee under the Administrative Services Agreement. The Sponsor waived $50,000 owed for June through October 2026, none of which had been paid; payments under that agreement resume at the Sponsor’s discretion on November 10, 2026. The consulting agreement ends upon completion of the initial business combination or liquidation, with specified earlier termination rights. The Sponsor waived claims against the trust account, and the audit committee and board approved the consulting agreement as a related-party transaction.
JAB Acquisition Corp I (ATLQ) is seeking shareholder approval to change its legal name to Atlantic Acquisition Corp I, effective immediately upon approval. The company says the change is part of an agreement to resolve a third-party trademark claim concerning its name and trading symbol. Its Class A shares, units, warrants and rights began trading under ATLQ, ATLQU, ATLQW and ATLQR on August 31, 2026.
Shareholders are scheduled to consider the name change, amended and restated memorandum and articles of association conditioned on that change, and a proposal to adjourn if needed to obtain more votes or allow additional time. The name and governing-document proposals each require at least two-thirds of votes cast; adjournment requires a simple majority. The board recommends a FOR vote on all three proposals. The meeting is scheduled for November 9, 2026, at 9:00 a.m. Eastern.
