Rhea-AI Filing Summary

Addentax Group Corp. (ATXG) entered into a Share Exchange Agreement on November 3, 2026, under which its wholly owned Hong Kong subsidiary, Yingxi Industrial Chain Investment Co., Ltd., will acquire 100% of Double Cash Finance Limited from its sole shareholder, Mr. Chan Kai Sang, in exchange for the issuance of 464,907 shares of Addentax common stock. Addentax’s board approved the transaction on November 2, 2026.

Closing is subject to filing a Nasdaq Listing of Additional Shares Notification form and satisfaction or permitted waiver of customary closing conditions. The share count was determined through arm’s-length negotiations that considered an October 13, 2026 valuation report by Miles Valuation Advisory Limited, which assessed Double Cash’s fair market value. Addentax stated the shares will be issued without Securities Act registration under Regulation S; Mr. Chan is not a U.S. person, the issuance will be an offshore transaction, and the shares will carry restrictive legends required under the Securities Act.

Filing Explained

The share exchange remains pending, with closing subject to a Nasdaq additional-shares notice and customary conditions; if completed, issuing 464,907 shares would increase Addentax’s share count and reduce existing holders’ percentage ownership.

Share Exchange Agreement financial
"entered into a Share Exchange Agreement"
A share exchange agreement is a legal deal where shareholders trade their shares in one company for shares in another, commonly used in mergers, acquisitions or corporate reorganizations. Think of it like swapping ownership cards in a game: the swap can change who controls the business, how many shares each person owns, and the value and liquidity of those holdings, so investors need to understand the exchange ratio, potential dilution and long-term impact on value and voting power.
Regulation S regulatory
"exemption ... provided by Regulation S"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
offshore transaction regulatory
"the issuance of the Shares will be made in an offshore transaction"
restrictive legends regulatory
"The Shares will bear restrictive legends"
fair market value financial
"assessed the fair market value of the Target"
The price a willing buyer and a willing seller would agree on for an asset or security when neither is under pressure and both have access to the same information. Think of it as the market’s neutral estimate of what something is worth, like the price two neighbors would settle on for a car after comparing similar listings. Investors care because fair market value guides buying and selling decisions, tax reporting, portfolio valuation, and how accurately company assets are reflected in financial statements.
