On October 1, 2026, Steven E. Rodgers, a Class II director of Aveanna Healthcare Holdings Inc. (the "Company"), notified the Company of his decision to resign from the Company's Board of Directors, effective immediately. Mr. Rodgers‘ decision to resign was not due to any disagreement with the Company on any matter relating to its operations, policies, or practices. Prior to his resignation, Mr. Rodgers was an independent director, serving on both the Audit Committee and the Compensation Committee of the Board of Directors.
