Avnet Q1 FY2027 sales reach $10.7B, EPS $3.28
Avnet estimated that the extra week contributed $654 million in sales; operating activities used $842.4 million in cash.
Sentiment and the balance of points
Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.
Avnet (AVT) reported first-quarter fiscal 2027 sales of $10.72 billion, up 81.7% from $5.90 billion a year earlier. The quarter included 14 weeks versus 13 weeks in the prior-year quarter; Avnet estimated the extra week contributed $654 million in sales. Electronic Components sales were $10.13 billion and Farnell sales were $583.3 million. Net income was $282.2 million versus $51.7 million, and diluted EPS was $3.28 versus $0.61. Gross profit margin was 10.0%, compared with 10.4%.
Operating income was $474.7 million, compared with $142.0 million. Net cash used in operating activities was $842.4 million versus $144.6 million, primarily reflecting higher working-capital needs; Avnet used $1.20 billion of cash for working capital, compared with $217.5 million. In August 2026, Avnet issued $550 million of 5.65% notes due 2031 and used the net proceeds to repay amounts under its Credit Facility and Securitization Program. In October 2026, it amended its Credit Facility, raising revolving commitments by $1.00 billion to $2.75 billion. Avnet expects fiscal Q2 2027 sales to grow from fiscal Q1.
How this balance works
Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.
It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.
Rhea-AI Sentiment measures something else, the tone of the wording.
Positive
- Moderate pointSales rose 81.7% year over year; periods covered 14 and 13 weeks.

Filing Explained
As of October 3, the $650 million notes carried a 90-day redemption put; any conversion shares could settle only value above principal.
Avnet classified its
If converted, Avnet must pay the principal in cash and may settle any conversion value above principal in cash, shares, or both. If shares are used for that excess, they would increase the share count and reduce existing holders’ percentage ownership, absent offsetting changes.

NOTES TO CONSOLIDATED FINANCIAL STATEMENTS
(Unaudited)
1. Basis of presentation and new accounting pronouncements
In the opinion of management, the accompanying unaudited interim consolidated financial statements contain all adjustments necessary to state fairly Avnet, Inc. and its consolidated subsidiaries’ (collectively, the “Company” or “Avnet”) financial position, results of operations, statement of equity, comprehensive income, and cash flows. All such adjustments are of a normal recurring nature.
Preparing financial statements in accordance with generally accepted accounting principles in the United States (“GAAP”) requires management to make estimates and assumptions that affect the amounts reported in the consolidated financial statements. Actual results may differ from these estimates and assumptions.
Interim results of operations do not necessarily indicate the results to be expected for the full fiscal year. The information included in this Form 10-Q should be read in conjunction with the consolidated financial statements and accompanying notes included in the Company’s Annual Report on Form 10-K for the fiscal year ended June 27, 2026.
Fiscal year
The Company operates on a “52/53 week” fiscal year, and fiscal 2027 contains 53 weeks compared to fiscal 2026, which contained 52 weeks. As a result, the first quarter of fiscal 2027 ended October 3, 2026 contained 14 weeks compared to the first quarter of fiscal 2026 ended September 27, 2025, which contained 13 weeks.
Reclassification
Certain prior period amounts have been reclassified or combined to conform to the current period presentation.
Recently adopted accounting pronouncements
In July 2025, the FASB issued ASU 2025-05, Financial Instruments - Credit Losses (Topic 326): Measurement of Credit Losses for Accounts Receivable and Contract Assets (“ASU No. 2025-05”). This update introduces a practical expedient available to all entities when estimating expected credit losses on current accounts receivable and contract assets arising from revenue recognized under ASC 606, Revenue from Contracts with Customers. With this expedient, entities may assume that the current conditions used to determine credit loss allowances for these assets will remain unchanged for the remainder of their lives. The Company adopted ASU 2025-05 during the first quarter of fiscal 2027 and elected to apply the practical expedient and related policy elections prospectively. The adoption of ASU 2025-05 did not have a material impact on the Company’s allowance for credit loss estimates or its consolidated financial statements and related disclosures primarily due to the short-term nature of its receivables.
In November 2025, the FASB issued ASU 2025-09, Derivatives and Hedging (Topic 815): Hedge Accounting Improvements (“ASU No. 2025-09”), which make certain targeted improvements to simplify the application of the hedge accounting guidance and to address several incremental hedge accounting issues arising from the global reference rate reform initiative. Among other amendments, these improvements include expanding the hedged risks permitted to be aggregated in a group of individual forecasted transactions in a cash flow hedge and clarifying the circumstance under which a group of individual forecasted transactions can be considered to have a similar risk exposure. The Company adopted ASU 2025-09 in the first quarter of fiscal 2027 on a prospective basis. The adoption of ASU 2025-09 did not have a material impact on the Company’s hedging relationships or its consolidated financial statements and disclosures.

Recently issued accounting pronouncements
In November 2024, the FASB issued ASU 2024-03, Income Statement—Reporting Comprehensive Income—Expense Disaggregation Disclosures (Subtopic 220-40): Disaggregation of Income Statement Expenses (“ASU 2024-03”), and in January 2025, the FASB issued ASU 2025-01, Income Statement - Reporting Comprehensive Income - Expense Disaggregation Disclosures: Clarifying the Effective Date (“ASU 2025-01”). The guidance is designed to improve financial reporting by requiring public business entities to disclose additional information about specific expense categories in the financial statement notes at interim and annual reporting periods. ASU No. 2024-03, as clarified by ASU 2025-01, will be effective for the Company in fiscal year 2028 and early adoption is permitted. The Company is currently evaluating the impact of adopting ASU No. 2024-03 on its disclosures.
In September 2025, the FASB issued ASU 2025-06, Intangibles – Goodwill and Other – Internal-Use Software, (Subtopic 350-40): Targeted Improvements to the Accounting for Internal-Use Software (“ASU No. 2025-06”). This update modernizes the guidance for accounting for software costs by aligning the accounting with how software is developed today. The effective date for the standard is for fiscal years beginning after December 15, 2027, the Company’s Fiscal 2029, and interim periods within those fiscal years. Early adoption is permitted. The amendments in this ASU should be applied either prospectively, retrospectively, or utilizing a modified transition approach. The Company is in the process of analyzing the impact of ASU No. 2025-06 on its consolidated financial statements and related disclosures.
In December 2025, the FASB issued ASU 2025-11, Interim Reporting (Topic 270): Narrow-Scope Improvements (“ASU No. 2025-11”). This update enhances the clarity and organization of interim reporting and the applicability of Topic 270. It also clarifies the required form and content of interim financial statements, including requiring entities to disclose events since the end of the last annual reporting period that have a material impact on the entity. The standard is effective for interim reporting periods within annual periods beginning after December 15, 2027, which for the Company would be the first quarter of fiscal 2029, with early adoption permitted. Entities may apply the update either prospectively or retrospectively. The Company is in the process of evaluating the impact of adopting ASU No. 2025-11 on its consolidated financial statements and related disclosures.

Given that these supply chain services involve purchasing, warehousing and providing logistics services for components as part of the services, the Company classifies the underlying components within inventories on the consolidated balance sheets. 5. Derivative financial instruments
Many of the Company’s subsidiaries purchase and sell products in currencies other than their functional currencies, which subjects the Company to the risks associated with fluctuations in currency exchange rates. This foreign currency exposure relates primarily to international transactions where the currency collected from customers can be different from the currency used to purchase from suppliers. The Company’s transactions are denominated primarily in the following currencies: U.S. Dollar, Euro, British Pound, Japanese Yen, Chinese Yuan, Taiwan Dollar, Canadian Dollar, and Mexican Peso. The Company also, to a lesser extent, has foreign operations transactions in other EMEA and Asian foreign currencies.
The Company uses economic hedges to reduce this risk utilizing natural hedging (i.e., offsetting receivables and payables in the same foreign currency) and creating offsetting positions using derivative financial instruments (primarily forward foreign currency exchange contracts typically with maturities of less than

6. Commitments and contingencies
From time to time, the Company may become a party to, or be otherwise involved in, various lawsuits, claims, investigations, and other legal proceedings arising in the ordinary course of conducting its business. While litigation is subject to inherent uncertainties, management does not anticipate that any such matters will have a material adverse effect on the Company’s financial condition, liquidity, or results of operations.
The Company is also currently subject to various pending and potential legal matters and investigations relating to compliance with governmental laws and regulations. For certain of these matters, it is not possible to determine the ultimate outcome, and the Company cannot reasonably estimate the maximum potential exposure or the range of possible loss, particularly regarding matters in early stages. The Company currently believes that the resolution of such matters will not have a material adverse effect on the Company’s financial position or liquidity but could possibly be material to its results of operations in any single reporting period.
In the ordinary course of business, the Company provides bank guarantees and standby letters of credit issued by financial institutions to support certain obligations. As of October 3, 2026, and June 27, 2026, the aggregate amount of these guarantees was approximately $

This Quarterly Report contains forward-looking statements within the meaning of Section 27A of the Securities Act of 1933, as amended (“Securities Act”), and Section 21E of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) with respect to the financial condition, results of operations, and business of the Company. Many of these statements can be found by looking for words like “continue,” “believes,” “projected,” “plans,” “expects,” “anticipates,” “should,” “will,” “may,” “estimates,” or similar expressions in this Quarterly Report or in documents incorporated by reference in this Quarterly Report. These forward-looking statements are subject to numerous assumptions, risks, and uncertainties. The following important factors, in addition to those discussed elsewhere in this Quarterly Report, and the Company’s Annual Report on Form 10-K for the fiscal year ended June 27, 2026, and subsequent Quarterly Reports on Form 10-Q and Current Reports on Form 8-K, could affect the Company’s future results of operations, and could cause those results or other outcomes to differ materially from those expressed or implied in the forward-looking statements: geopolitical events and military conflicts; pandemics and other health-related crises; competitive pressures among distributors of electronic components; an industry down-cycle in semiconductors; relationships with key suppliers and allocations of products by suppliers; accounts receivable defaults; risks relating to the Company’s international sales and operations, including risks relating to repatriating cash, foreign currency fluctuations, inflation, duties and taxes, tariffs, sanctions and trade restrictions, and compliance with international and U.S. laws; risks relating to acquisitions, divestitures and investments; adverse effects on the Company’s supply chain, operations of its distribution centers, shipping costs, third-party service providers, customers and suppliers, including as a result of issues caused by military conflicts, terrorist attacks, natural and weather-related disasters, pandemics and health related crises, warehouse modernization, and relocation efforts; risks related to cyber security attacks, other privacy and security incidents, and information systems failures, including related to current or future implementations, integrations, and upgrades; general economic and business conditions (domestic, foreign and global) affecting the Company’s operations and financial performance and, indirectly, the Company’s credit ratings, debt covenant compliance, liquidity, and access to financing; constraints on employee retention and hiring; and legislative or regulatory changes.
Any forward-looking statement speaks only as of the date on which that statement is made. Except as required by law, the Company assumes no obligation to update any forward-looking statement to reflect events or circumstances that occur after the date on which the statement is made.
Item 2. | Management’s Discussion and Analysis of Financial Condition and Results of Operations |
For a description of the Company’s critical accounting policies and an understanding of Avnet and the significant factors that influenced the Company’s performance during the quarter ended October 3, 2026, this Management’s Discussion and Analysis of Financial Condition and Results of Operations (“MD&A”) should be read in conjunction with the consolidated financial statements, including the related notes, appearing in Item 1 of this Quarterly Report on Form 10-Q, as well as the Company’s Annual Report on Form 10-K for the fiscal year ended June 27, 2026. The Company operates on a “52/53 week” fiscal year and fiscal 2027 contains 53 weeks compared to 52 weeks in fiscal 2026. As a result, the first quarter of fiscal 2027 ended October 3, 2026, contained 14 weeks and the first quarter of fiscal 2026 ended September 27, 2025, contained 13 weeks. This extra week in the first quarter of fiscal 2027 impacts the year-over-year analysis in this MD&A.
The discussion of the Company’s results of operations includes references to the impact of foreign currency translation. When the U.S. Dollar strengthens and the stronger exchange rates are used to translate the results of operations of Avnet’s subsidiaries denominated in foreign currencies, the result is a decrease in U.S. Dollars of reported results. Conversely, when the U.S. Dollar weakens, the weaker exchange rates result in an increase in U.S. Dollars of reported results. In the discussion that follows, results excluding this impact, primarily for subsidiaries in Europe, the Middle East and Africa (“EMEA”) and Asia/Pacific (“Asia”), are referred to as “constant currency.”

Table of Contents
In addition to disclosing financial results that are determined in accordance with generally accepted accounting principles in the U.S. (“GAAP”), the Company also discloses certain non-GAAP financial information, including:
| ● | Sales adjusted for certain items that impact the year-over-year analysis, which includes the adjustment for the estimated impact of the extra week of sales in the first quarter of fiscal 2027 due to it being a 14-week quarter. Sales taking into account this adjustment is referred to as “organic sales.” |
| ● | “Adjusted operating income,” which is operating income excluding (i) restructuring, integration, and other expenses, and (ii) amortization of acquired intangible assets. |
The reconciliation of operating income to adjusted operating income is presented in the following table:
| | | | | | |

Amortization of acquired intangible assets | |

Adjusted operating income | | $ | 498,064 | | $ | 150,687 |
Management believes that providing this additional information is useful to financial statement users to better assess and understand operating performance, especially when comparing results with prior periods or forecasting performance for future periods, primarily because management typically monitors the business with and without these adjustments to GAAP results. Management also uses these non-GAAP measures to establish operational goals and, in many cases, for measuring performance for compensation purposes. However, any analysis of results on a non-GAAP basis should be used in conjunction with results presented in accordance with GAAP.
OVERVIEW
Organization
Avnet, Inc., including its consolidated subsidiaries (collectively, the “Company” or “Avnet”), is a leading global electronic component distributor and solutions provider that has served customers’ evolving needs for more than a century. Founded in 1921, the Company works with suppliers in every major technology segment to serve customers in more than 140 countries.
Avnet has two reportable segments — Electronic Components (“EC”) and Farnell, which are discussed further in Note 12 “Segment information” to the Company’s consolidated financial statements included in this Quarterly Report on Form 10-Q.
Industry outlook
During the first quarter of fiscal 2027, the Company continued to experience improving market conditions as demand for electronic components and pricing for memory related components strengthened, including demand associated with data center applications including those that support artificial intelligence, resulting in year-over-year sales growth across all regions. The Company continues to see strengthening demand across its’ end markets, while broader industry conditions continue to be influenced by product availability and memory pricing, global economic conditions, geopolitical developments and changes in global trade policies. These factors may affect customer demand, product costs, market volatility and currency exchange rates.
The Company expects sales in the second quarter of fiscal 2027 to grow from the first quarter of fiscal 2027. The Company has historically used cash from operations for working capital investments during periods of higher growth.

First quarter fiscal 2027 sales were $10.72 billion, an increase of $4.82 billion, or 81.7%, from $5.90 billion in the prior-year first quarter. The increase was primarily driven by higher sales volumes across both EC and Farnell, including the impact of an additional week of sales in the first quarter of fiscal 2027, and, to a lesser extent, higher pricing, primarily for certain memory-related products within EC.
EC sales in the first quarter of fiscal 2027 were $10.13 billion, an increase of $4.63 billion, or 84.3%, from $5.50 billion in the prior-year first quarter. All three EC regions contributed to this growth led by the Company’s Americas region. The increase in EC sales was mainly attributable to increased sales volumes and the mix of higher-priced components and to a lesser extent from increase in prices for certain memory-related products.
Farnell sales in the first quarter of fiscal 2027 were $583.3 million, an increase of $184.4 million, or 46.2%, from $398.9 million in the prior-year first quarter. The increase in sales in the first quarter of fiscal 2027 is primarily due to improvement in demand for on-the-board electronic components and single board computers. The increase in sales at Farnell was primarily driven by an increase in sales volumes and the mix of higher-priced components as increases in components pricing were minimal during the first quarter of fiscal 2027.
Gross Profit
The Company’s gross profit and gross profit margin are primarily affected by sales volume, product mix, customer mix and pricing, and geographic sales mix. First quarter fiscal 2027 gross profit was $1.07 billion, an increase of $459.2 million, or 74.7%, from $614.8 million in the prior-year first quarter. This increase in gross profit is primarily due to sales increases in both operating groups previously discussed, slightly offset by declines in gross profit margin in the EC operating group, which was primarily driven by the differences in product and customer mix in the Western regions.
First quarter fiscal 2027 gross profit margin was 10.0%, a decrease of 40 basis points from 10.4% in the prior-year first quarter. The decrease in gross profit margin was primarily due to the previously discussed differences in product and customer mix in the Western regions of the EC operating group.
22
Table of Contents
EC first quarter fiscal 2027 gross profit margin was 8.9%, a decrease of 29 basis points from 9.2% in the prior-year first quarter. The year-over-year decrease was largely due to the factors discussed previously. Farnell first quarter fiscal 2027 gross profit margin was 29.0%, an increase of 199 basis points from 27.0% in the prior-year first quarter. The increase was primarily due to an increase in product mix of on-the-board electronic components.
Selling, General and Administrative Expenses
First quarter fiscal 2027 selling, general, and administrative expenses (“SG&A expenses”) were $576.3 million, an increase of $111.9 million or 24.1% from $464.4 million the first quarter of fiscal 2026. The increase in SG&A expenses is primarily due to increases in variable operating expenses associated with higher sales volumes, the impact of changes in foreign currency translation rates, and from the extra week in the first quarter of fiscal 2027.
Management monitors SG&A expenses as a percentage of sales and as a percentage of gross profit. In the first quarter of fiscal 2027, SG&A expenses were 5.4% of sales and 53.7% of gross profit, as compared with 7.9% and 75.5%, respectively, in the first quarter of fiscal 2026. The year-over-year decrease in SG&A expenses as a percentage of gross profit is primarily due to the increase in sales as discussed previously without a corresponding increase in SG&A expenses partially offset by the decline in gross profit margin in EC as explained in the prior discussion.
See Note 12 “Segment information” to the Company’s consolidated financial statements included in this Quarterly Report on Form 10-Q for the amount of selling, general and administrative expenses by operating group.
Restructuring, Integration, and Other Expenses
First quarter fiscal 2027 restructuring, integration, and other expenses were $23.0 million, an increase of $14.6 million or 176.6% from $8.3 million in the first quarter of fiscal 2026. Included in the first quarter of fiscal 2027 restructuring, integration, and other expenses were $4.7 million of severance and other restructuring related expenses, and $18.3 million of integration and other costs primarily related to start-up costs associated with a new distribution center in EMEA. The after-tax impact of restructuring, integration, and other expenses were $16.7 million and $0.20 per share on a diluted basis.
Comparatively, first quarter fiscal 2026 restructuring, integration, and other expenses consisted of $1.6 million of severance and other employee-related expenses, and $6.7 million of integration and other costs.
See Note 13 “Restructuring expenses” to the Company’s consolidated financial statements included in this Quarterly Report on Form 10-Q.
Operating Income
First quarter fiscal 2027 operating income was $474.7 million, an increase of $332.7 million or 234.3%, from $142.0 million in the prior-year first quarter. First quarter fiscal 2027 operating income margin was 4.4%, an increase of 202 basis points from 2.4% in the prior-year first quarter. First quarter fiscal 2027 adjusted operating income was $498.1 million, an increase of $347.4 million, or 230.5%, from $150.7 million in the prior-year first quarter. First quarter fiscal 2027 adjusted operating income margin was 4.7%, an increase of 210 basis points from 2.6% in the prior-year first quarter. The increase in operating income margin and adjusted operating income margin is primarily due to the sales growth across EC and Farnell.
EC first quarter fiscal 2027 operating income was $484.5 million, an increase of $325.4 million, or 204.7%, from $159.0 million in the prior-year first quarter. EC first quarter operating income margin was 4.8%, an increase of 189 basis points from 2.9% in the prior-year first quarter. Farnell first quarter operating income was $58.6 million, an increase of $41.5 million, or 242.7%, from $17.1 million in the prior-year first quarter. Farnell first quarter operating income margin was 10.1%, an increase of 576 basis points from 4.3% in the prior-year first quarter. Operating income and operating income margins at both EC and Farnell benefited from the increase in sales, as SG&A expenses increased at a lower rate than sales.

Interest and Other Financing Expenses, Net
First quarter fiscal 2027 interest and other financing expenses were $91.9 million, an increase of $32.1 million, or 53.7%, from $59.8 million in the prior-year first quarter. The increase in interest and other financing expenses in the first quarter of fiscal 2027 compared to the prior-year first quarter is primarily the result of higher average borrowings.
Income Tax
First quarter fiscal 2027 income tax expense was $89.5 million, an increase of $64.4 million, or 257%, from $25.1 million in the prior-year first quarter. First quarter fiscal 2027 income tax expense reflected an effective tax rate of 24.1%, a decrease of 856 basis points from 32.6% in the prior-year first quarter. The decrease in the effective tax rate for the first quarter of fiscal 2027 was primarily related to the effect of changes in tax rates enacted in foreign jurisdictions in fiscal 2026. See Note 7 “Income taxes” to the Company’s consolidated financial statements included in this Quarterly Report on Form 10-Q.
Net Income
First quarter fiscal 2027 net income was $282.2 million, an increase of $230.4 million, or 445.3%, from $51.7 million in the prior-year first quarter. First quarter fiscal 2027 net income per share on a diluted basis was $3.28, an increase of $2.67, or 437.7%, from $0.61 in the prior-year first quarter. The increases in net income and net income per share on a diluted basis were primarily attributable to the factors discussed in the preceding MD&A discussion.
LIQUIDITY AND CAPITAL RESOURCES
Cash Flow
Operating Activities
Net cash used for operating activities was $842.4 million for the first quarter of fiscal 2027, up from $144.6 million in the same period of prior fiscal year. The increase was primarily due to higher working capital requirements to support the $4.82 billion increase in sales. The Company used $1.20 billion of cash for working capital in the first quarter of fiscal 2027, compared to $217.5 million in the prior-year period.
Financing Activities
Net debt proceeds were $978.2 million during the first quarter of fiscal 2027, compared with $320.8 million in the prior-year period, primarily reflecting increased borrowings to support the working capital requirements associated with sales growth. The fiscal 2027 net proceeds included $545.6 million from the issuance of Notes, $648.9 million under the Credit Facility, and $375.0 million for term loan, partially offset by net repayments of $474.6 million under the Securitization Program, $88.9 million for term loans, and $27.7 million of other debt.
The Company did not repurchase any shares of common stock under its share repurchase plan during the first quarter of fiscal 2027 compared to $138.3 million in the same period of the prior fiscal year. The Company paid cash dividends to shareholders of $0.37 per share, or $30.4 million, during the first quarter of fiscal 2027 as compared to $0.35 per share, or $28.5 million, during the first quarter of fiscal 2026.
Investing Activities
Net cash used in investing activities decreased by $1.1 million during the first quarter of fiscal 2027 compared to the same period in 2026, primarily due to lower capital expenditures.

Contractual Obligations
For a detailed description of the Company’s long-term debt and lease commitments for the next five years and thereafter, see Long-Term Contractual Obligations appearing in Item 7 of the Company’s Annual Report on Form 10-K for the fiscal year ended June 27, 2026 and Note 4 “Debt” to the Company’s consolidated financial statements included in this Quarterly Report on Form 10-Q. There are no material changes to this information other than normal borrowings and repayments of long-term debt and operating lease payments. The Company does not currently have any material non-cancellable commitments for capital expenditures or inventory purchases outside of the normal course of business.
Financing Transactions
See Note 4, “Debt” to the Company’s consolidated financial statements included in this Quarterly Report on Form 10-Q for additional information on financing transactions, including the Credit Facility, the Securitization Program, and other outstanding notes and debt as of October 3, 2026. The Company was in compliance with all covenants under the Credit Facility and the Securitization Program as of October 3, 2026, and June 27, 2026.
The Company has various lines of credit, financing arrangements, and other forms of bank debt in the U.S. and various foreign locations to fund the working capital, foreign exchange, overdraft, capital expenditure, and letter of credit needs of its wholly owned subsidiaries. Outstanding borrowings under such forms of debt at the end of first quarter of fiscal 2027 were $139.0 million.
As an alternative form of liquidity outside of the United States, the Company sells certain of its trade accounts receivable on a non-recourse basis to financial institutions pursuant to factoring agreements. The Company accounts for these transactions as sales of receivables and presents cash proceeds as cash provided by operating activities in the consolidated statements of cash flows. Factoring fees for the sales of trade accounts receivable are recorded within “Interest and other financing expenses, net” of the consolidated financial statements.
Liquidity
The Company held cash and cash equivalents of $236.8 million as of October 3, 2026, of which $211.9 million was held outside the United States. As of June 27, 2026, the Company held cash and cash equivalents of $155.4 million, of which $146.4 million was held outside of the United States.
During periods of weakening demand in the electronic components industry, the Company typically generates cash from operating activities. Conversely, the Company will use cash for working capital requirements during periods of higher growth. The Company used $978.7 million in cash flows for operating activities over the trailing four fiscal quarters ended October 3, 2026.
The Company’s liquidity is affected by a variety of factors, including normal business operations and general economic, financial, competitive, legislative and regulatory conditions, many of which are outside the Company’s control. Cash balances held outside the United States that cannot be remitted in a tax-efficient manner are generally used to support local working capital requirements, including inventory purchases, capital expenditures and other foreign business needs. In addition, local government regulations may restrict the Company’s ability to transfer funds among jurisdictions under certain circumstances. Management does not believe these restrictions would limit the Company’s ability to execute its intended business strategy.
In August 2026, the Company issued $550 million aggregate principal amount of 5.65% Notes due 2031 (see Note 4). The Company used the net proceeds to repay outstanding amounts under its Credit Facility and Securitization Program.
In October 2026, the Company amended its Credit Facility to increase the aggregate revolving commitments by $1.00 billion to a limit of $2.75 billion and to permit the Company to request up to $1.00 billion of additional commitments.

Table of Contents
As of the end of the first quarter of fiscal 2027, the Company had a combined total borrowing capacity of $2.45 billion under the Credit Facility and the Securitization Program. There were $1.18 billion borrowings outstanding and $0.7 million in letters of credit issued under the Credit Facility, and $25.4 million outstanding under the Securitization Program, resulting in approximately $1.24 billion of total committed availability as of October 3, 2026. Availability under the Securitization Program is subject to the Company having sufficient eligible trade accounts receivable in the United States to support desired borrowings.
During the first quarter of fiscal 2027, the Company had an average daily balance outstanding of approximately $1.31 billion under the Credit Facility, and approximately $638.4 million under the Securitization Program. The Company also has average borrowings that are higher than quarter end borrowings from various lines of credit, financing arrangements, and other forms of bank debt in the U.S. and various foreign locations.
As of October 3, 2026, the Company does not expect to repurchase additional shares during the remainder of 2026. When share repurchases resume, the Company may repurchase stock from time to time at the discretion of management, subject to strategic considerations, market conditions (including share price), and other factors. The Company may terminate or limit the share repurchase program at any time without prior notice. The Company has $225.8 million of capacity remaining on the share repurchase program approved by the Board of Directors as of October 3, 2026.
The Company has historically paid quarterly cash dividends on shares of its common stock, and future dividends are subject to approval by the Board of Directors. During the first quarter of fiscal 2027, the Board of Directors approved a dividend of $0.37 per share, which resulted in $30.4 million of dividend payments during the quarter.
The Company continually monitors and reviews its liquidity position and funding needs. Management believes that the Company’s ability to generate operating cash flows through the liquidation of working capital in the future and available borrowing capacity, including capacity for the non-recourse sale of trade accounts receivable, will be sufficient to meet its future liquidity needs. Additionally, the Company believes that it has sufficient access to additional liquidity from the capital markets if necessary.
Recently Issued Accounting Pronouncements
See Note 1, “Basis of presentation and new accounting pronouncements” to the Company’s consolidated financial statements included in this Quarterly Report on Form 10-Q for a description of recently issued accounting pronouncements.
Item 3. | Quantitative and Qualitative Disclosures About Market Risk |
The Company seeks to reduce earnings and cash flow volatility associated with changes in interest rates and foreign currency exchange rates through financial arrangements that are intended to provide an economic hedge against the risks associated with such volatility. The Company continues to have exposure to such risks to the extent they are not economically hedged.
See Item 7A, Quantitative and Qualitative Disclosures About Market Risk, in the Company’s Annual Report on Form 10-K for the fiscal year ended June 27, 2026, for further discussion of market risks associated with foreign currency exchange rates and interest rates. Avnet’s exposure to such risks has not changed materially since June 27, 2026, as the Company continues to economically hedge the majority of its foreign currency exchange exposures. Thus, any increase or decrease in the fair value of the Company’s forward foreign currency exchange contracts is generally offset by an opposite effect on the related economically hedged position. For interest rate risk, the Company continues to maintain a combination of fixed and variable rate debt to mitigate the exposure to fluctuations in market interest rates.

See Liquidity and Capital Resources — Financing Transactions appearing in Item 2 of this Quarterly Report on Form 10-Q for further discussion of the Company’s financing transactions and capital structure. As of October 3, 2026, approximately 55% of the Company’s debt bears interest at a fixed rate and 45% of the Company’s debt bears interest at variable rates. Therefore, a hypothetical 1.0% (100 basis points) increase in interest rates would result in a $4.7 million decrease in income before income taxes in the Company’s consolidated statement of operations for the first quarter of fiscal 2027.
Item 4. | Controls and Procedures |
The Company’s management, including its Chief Executive Officer and Chief Financial Officer, have evaluated the effectiveness of the Company’s disclosure controls and procedures (as such term is defined in Rules 13a-15(e) and 15d-15(e) under the Securities Exchange Act of 1934 (the “Exchange Act”)) as of the end of the reporting period covered by this Quarterly Report on Form 10-Q. Based on such evaluation, the Chief Executive Officer and Chief Financial Officer have concluded that, as of the end of the period covered by this Quarterly Report on Form 10-Q, the Company’s disclosure controls and procedures are effective such that material information required to be disclosed by the Company in the reports that it files or submits under the Exchange Act is recorded, processed, summarized, and reported, within the time periods specified by the Securities and Exchange Commission’s rules and forms and is accumulated and communicated to management, including the Company’s principal executive officer and principal financial officer, as appropriate, to allow timely decisions regarding required disclosure.
During the first quarter of fiscal 2027, there were no changes to the Company’s internal control over financial reporting (as defined in Rules 13a-15(f) and 15d-15(f) of the Exchange Act) that materially affected, or are reasonably likely to materially affect, the Company’s internal control over financial reporting.
PART II
OTHER INFORMATION
Item 1. | Legal Proceedings |
Pursuant to SEC regulations, including but not limited to Item 103 of Regulation S-K, the Company regularly assesses the status of and developments in pending environmental and other legal proceedings to determine whether any such proceedings should be identified specifically in this discussion of legal proceedings, and has concluded that no particular pending legal proceeding requires public disclosure. Based on the information known to date, management believes that the Company has appropriately accrued in its consolidated financial statements for its share of the estimable costs of environmental and other legal proceedings.
The Company is also currently subject to various pending and potential legal matters and investigations relating to compliance with governmental laws and regulations, including import/export and environmental matters. The Company currently believes that the resolution of such matters will not have a material adverse effect on the Company’s financial position or liquidity but could possibly be material to its results of operations in any single reporting period.
Item 1A. | Risk Factors |
The discussion of the Company’s business and operations should be read together with the risk factors contained in Item 1A of its Annual Report on Form 10-K for the fiscal year ended June 27, 2026, which describe various risks and uncertainties to which the Company is or may become subject. These risks and uncertainties have the potential to affect the Company’s business, financial condition, results of operations, cash flows, strategies or prospects in a material and adverse manner. As of October 3, 2026, there have been no material changes to the risk factors set forth in the Company’s Annual Report on Form 10-K for the fiscal year ended June 27, 2026.
