Rhea-AI Filing Summary

Aya Gold & Silver Inc. (AYA) agreed to acquire a 139 km² copper-silver exploration permit portfolio in Morocco, including a 19 km² mining license about 35 km west of its Zgounder Silver Mine, for total consideration of C$4.0 million payable in Aya common shares.

The Cu-Ag Portfolio, in the Tizi area, features historical trenching of 15 m grading 0.65% Cu and 33 g/t Ag, surface samples up to 837 g/t Ag and 4.6% Cu, and a principal Cu-Ag horizon traced over 2 km, with approximately 20 km of existing road access. Aya views the package as expanding its land position around Zgounder and adding a potentially district-scale, underexplored Cu-Ag system.

The acquisition, to be completed through a wholly owned subsidiary, is subject to confirmatory due diligence, Moroccan and Canadian regulatory clearances and TSX approval. Over the next 12–18 months, Aya plans stream sediment geochemistry, hyperspectral studies, airborne geophysics, mapping and prospecting to define next-stage exploration.

Filing Explained

If completed, the C$4.0 million share-funded acquisition would dilute existing holders, but closing remains conditional and no share count is disclosed.

As a Form 6-K, this filing furnishes material information published by a foreign private issuer's home market; Aya Gold & Silver reports an agreement to acquire the portfolio, with closing still subject to due diligence, regulatory approvals and TSX approval.

The C$4.0 million consideration is payable in Aya common shares, so issuing the shares would add to the company's share count and could reduce existing holders' percentage ownership.

The filing does not disclose the number of shares, and any shares issued in connection with the transaction will be subject to statutory sale restrictions.

The company highlights historical trenching and selective grab samples, but states that the historical results are not current and that grab samples do not represent true width, overall grade or further mineralization.

exploration permits regulatory
"acquire a 139 square kilometers ("km²") portfolio of exploration permits"
mining license regulatory
"including a 19 km² mining license, approximately 35 km West of Aya’s"
A mining license is an official permit from a government that allows a company to explore, extract and sell minerals or other natural resources from a specific area. It matters to investors because the license determines whether a project can legally operate, how long operations can run, and what costs or environmental rules apply—similar to owning a lease and permissions for a piece of land before building a business on it.
sediment-hosted/stratiform copper technical
"Multiple mineralization styles identified: sediment-hosted/stratiform copper,"
A sediment-hosted/stratiform copper deposit is a large, layered body of copper mineralization that formed within or directly on sedimentary rock layers, often as copper-bearing fluids moved through porous sediments and precipitated metals along bedding planes. These deposits matter to investors because they tend to be extensive, relatively continuous and amenable to bulk mining methods, which affects potential mine size, development complexity, and long‑term production profiles.
National Instrument 43-101 regulatory
"compliance with National Instrument 43-101."
National Instrument 43-101 is a set of rules and guidelines that govern how mineral exploration and mining companies must report information about their projects. It ensures that the details shared with investors are accurate, consistent, and reliable—similar to how a detailed, verified blueprint ensures a building’s safety. This helps investors make informed decisions based on trustworthy information about a company's mineral resources.
surface grab samples technical
"Surface grab samples are selective by nature and are not representative"
Samples of rock, soil or sediment collected from exposed surfaces by hand or simple tools as individual, selective pieces rather than as part of a systematic or bulk sampling program. Think of them as a quick snapshot or a single spoonful taken to see if something interesting is present. They matter to investors because they can indicate where minerals or anomalies occur, but they are not reliable measures of average grade, extent or economic value without follow-up, more representative testing.

Aya Gold & Silver to Acquire Copper-Silver Portfolio
Adding 139 km² Land Package Near Zgounder
Montreal, Quebec, September 1, 2026 - Aya Gold & Silver Inc. (TSX: AYA; NASDAQ: AYA) (“Aya” or the “Company”) is pleased to announce that it has entered into an agreement to acquire a 139 square kilometers ("km²") portfolio of exploration permits in Morocco (the “Cu-Ag Portfolio”), including a 19 km² mining license, approximately 35 km West of Aya’s Zgounder Silver Mine ("Zgounder").
The acquisition is expected to further consolidate Aya’s land position in the Zgounder district and provide exposure to a large, underexplored copper-silver ("Cu-Ag") system with multiple styles of mineralization and significant exploration potential.
Project Highlights
The Cu-Ag Portfolio Acquisition Adds 139 km² Land Package Near Zgounder (Tizi area)
Strong historical trenching: returned 15 meters ("m") grading 0.65% Cu and 33 grams per tonne ("g/t") Ag.1
High-grade silver surface samples: up to 837 g/t Ag from historical grab, consistent with Aya's sample returning 500 g/t Ag.
High-grade copper surface samples: up to 4.6% Cu from historical grab, consistent with Aya's sample returning 4.0% Cu.
Principal Cu-Ag horizon over 2 km: confirmed by Aya field visit.
Multiple mineralization styles identified: sediment-hosted/stratiform copper, structurally controlled vein- and shear-hosted Cu-Ag mineralization, and associated alteration zones.
Broader district-scale potential: historical workings and copper occurrences indicative of a potentially larger mineralized system.
Existing exploration access: approximately 20 km of road access associated with historical manganese workings.
Significant untested upside: historical work has been limited to the manganese horizon with the exception of recent reconnaissance and surface exploration for Cu.

1Historical results referenced above were reported by the previous operator and a qualified person has not done sufficient work to classify the historical estimates as current; Aya is not considering the historical estimates as current and cautions that further work is required to confirm them. Surface grab samples are selective by nature and are not representative of true width, overall grade of mineralization, or is indicative of any further mineralization.

“This acquisition is consistent with our vision of building a dominant land position around Zgounder and strategically consolidating prospective opportunities in Morocco,” said Benoit La Salle, President & CEO. “Adding 139 km² of compelling copper-silver showings only 35 km from Zgounder is in line with this strategy. We see significant potential to apply Aya’s exploration expertise and establish a new copper-silver platform within our growing Moroccan portfolio.” said Benoit La Salle, President & CEO.
Strategic Rationale
The acquisition represents a low-cost opportunity for Aya to consolidate a land position, adjacent to its existing Moroccan operating footprint. Located approximately 35 km West of Zgounder (Figure 1 and 2) the property lies in a similar geological setting to our operating mine, with Neoproterozoic volcano-sediment in proximity to the Askouen granite.
The combination of at-surface, high-grade, Cu-Ag mineralization (Figure 3 and 4), multiple mineralization styles shown by both historical results and sampling completed during our site visits, existing site access, and significant untested strike potential presents Aya with an attractive exploration platform.
The Cu-Ag Portfolio complements Aya’s existing properties and reinforces its strategy of leveraging its operating presence, technical expertise and infrastructure in Morocco to advance new opportunities.
