Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Azitra, Inc. will implement a 1-for-10 reverse stock split effective October 26, 2026, at 12:01 a.m. Eastern Time. The company filed the certificate amendment on October 22, 2026; its common stock is expected to begin trading on a reverse-split-adjusted basis on NYSE American at market open that day. Filing Explained

For Azitra’s announced reverse split, the share count is consolidated and the per-share price rises proportionally; the split itself does not change company value.

Reverse Stock Split technical
"to effectuate a 1-for-10 reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
fractional share financial
"No fractional shares will be issued"
A fractional share is a portion of a single stock that is worth less than one full share, like owning a slice of a pizza instead of the whole pie. It lets investors buy and hold part of expensive stocks or spread small amounts of money across many companies, which helps with diversification and regular investing; dividends and price changes affect fractional shares proportionally, though some rights and trading rules can vary by provider.
par value financial
"The par value and other terms of the Common Stock will not be affected"
Par value is the fixed amount printed on a bond or stock that represents its original value when issued. It’s like the face value of a coin or bill—what the issuer promises to pay back or the starting price of a stock—though it often doesn’t change with market prices. It matters because it helps determine certain financial details, like how much the company will pay back at maturity.
issued and outstanding financial
"shares of the Company’s issued and outstanding Common Stock"
Issued and outstanding refers to two related counts of a company's stock: "issued" is the total number of shares the company has created and ever sold, while "outstanding" is the number of those shares currently held by outside investors (issued shares minus any the company holds in its treasury). Investors use outstanding shares to calculate ownership percentages, voting power, earnings per share and market capitalization — think of issued shares as all slices baked and outstanding as the slices actually on the table for people to eat.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

How will AZTR handle fractional shares after the reverse stock split?

AZTR will pay cash in lieu of fractional shares to stockholders of record who would otherwise receive a fraction. The payment equals the average closing price for the five trading days immediately preceding October 26, 2026, multiplied by the number of common shares outstanding immediately before the split that were reclassified into that fractional share.

Item 3.03 Material Modification to Rights of Security Holders.

To the extent required by Item 3.03 of Form 8-K, the information contained in Item 5.03 of this Current Report on Form 8-K (the “Current Report”) is incorporated herein by reference.

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 22, 2026, Azitra, Inc. (the “Company”) filed a certificate of amendment to the Company’s Second Amended and Restated Certificate of Incorporation (the “Amendment”) with the Secretary of State of the State of Delaware to effectuate a 1-for-10 reverse stock split (the “Reverse Stock Split”) of the outstanding shares of the Company’s common stock (“Common Stock”). At the Company’s annual meeting of stockholders held on June 15, 2026, the Company’s stockholders approved an amendment to the Company’s certificate of incorporation to effect reverse stock splits of the Common Stock at a ratio of not less than 1 for 2 and not more than 1 for 30, with the exact ratio for each reverse stock split within such range to be determined by the Board of Directors in its sole discretion.

The Reverse Stock Split will become effective on October 26, 2026 at 12:01 a.m., Eastern Time (the “Effective Time”) and the Common Stock is expected to begin trading on the NYSE American on a Reverse Stock Split-adjusted basis on October 26, 2026 at market open. As of the Effective Time, every 10 shares of the Company’s issued and outstanding Common Stock will be combined into one share of Common Stock.

The par value and other terms of the Common Stock will not be affected by the Reverse Stock Split. The Company’s post-Reverse Stock Split Common Stock CUSIP number will be 05479L401.

No fractional shares will be issued as a result of the Reverse Stock Split. Stockholders of record who would otherwise be entitled to receive a fractional share of Common Stock will receive a cash payment in lieu thereof at a price equal to (i) the average closing price of the Common Stock for the five trading days immediately preceding October 26, 2026, multiplied by (ii) the number of shares of Common Stock outstanding immediately prior to effectiveness of the Reverse Stock Split that were reclassified into such fractional share pursuant to the Reverse Stock Split.

The foregoing description of the Amendment is qualified in its entirety by reference to the Amendment, a copy of which is filed as Exhibit 3.1 to this Current Report and is incorporated herein by reference.
