Rhea-AI Filing Summary

BGSF, Inc. reported second-quarter 2026 results from continuing operations with revenue of $22.3 million, down from $23.5 million a year earlier, as lower billable hours reduced volume. Gross profit was $7.9 million versus $8.4 million, keeping gross margin roughly stable at 35.5%.

The company’s net loss from continuing operations narrowed to $0.8 million, or $0.08 per diluted share, compared with a $4.5 million loss, or $0.41 per share, driven mainly by lower selling, general and administrative expenses. Operating loss improved to $1.2 million from $4.0 million. Adjusted EBITDA loss was $0.3 million, or 1% of revenue, versus a $1.2 million loss, or 5% of revenue; Adjusted EPS loss improved to $0.02 from $0.10.

For the first half of 2026, revenue was $43.2 million and net loss was $1.3 million, compared with $44.4 million and $4.5 million in the prior-year period. Cash and cash equivalents were $9.7 million at June 28, 2026, supplemented by $8.5 million of short‑term investments. Net cash used in continuing operating activities was $0.2 million, and $1.5 million was used in financing, including $1.2 million of share repurchases. Management highlighted cost reductions following the conclusion of a Transition Services Agreement and ongoing investments in AI-enabled tools and PropTech services.

Filing Explained

As of June 28, repurchases left 10,680,174 shares outstanding versus 10,872,067 at year-end, while issued shares rose slightly.

BGSF’s August 5, 2026 Form 8-K reports second-quarter results through an attached earnings release; for existing common holders, the disclosed structural change is a lower outstanding share count after repurchases.

An 8-K reports specified material events, and this filing records the company’s release of historical results for the thirteen weeks ended June 28, 2026 as Exhibit 99.1. The balance sheet reports 10,680,174 common shares outstanding at quarter-end versus 10,872,067 at December 28, 2025, while issued shares increased from 11,227,197 to 11,262,422.

Treasury stock increased to 582,248 shares from 355,130 shares, alongside the reported repurchase of $1,166 thousand of common stock. Because dilution refers to issuing additional shares that reduces an existing holder’s percentage ownership, this disclosure shows repurchase-related share-count reduction rather than a disclosed dilutive issuance.

The release identifies Adjusted EBITDA and Adjusted EPS as non-GAAP measures and says they are not alternatives to GAAP earnings, earnings per share, operating income, or operating cash flow.

Adjusted EBITDA financial
"Adjusted EBITDA1 loss was $0.3 million (1% of revenues) in Q2"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Adjusted EPS financial
"Adjusted EPS1 loss was $0.02 for Q2, compared with Adjusted EPS1 loss"
Adjusted earnings per share (adjusted eps) is a measure of a company's profit per share that has been modified to exclude certain one-time or unusual items, such as costs from restructuring or asset sales. It provides a clearer picture of the company’s core performance by removing events that may distort the usual earnings. Investors use adjusted eps to better understand a company's ongoing profitability and compare it more accurately over time.
Transition Services Agreement financial
"first reporting period following the conclusion of the Transition Services Agreement"
A transition services agreement is a formal arrangement where one company continues to provide essential services—such as IT, human resources, or accounting—to another company after a business deal or change in ownership. It acts like a temporary bridge, ensuring smooth operations during a transition period. For investors, it provides clarity on how long support will last and helps assess potential costs and stability during the change.
discontinued operations financial
"Income from discontinued operations and Gain on sale are presented separately"
Discontinued operations are parts of a company that it has decided to sell or shut down, and no longer plans to run in the future. This matters to investors because it helps them understand which parts of the business are ongoing and which are being phased out, providing a clearer picture of the company’s current performance and future prospects. Think of it like a store closing a department—it no longer contributes to sales or profits.
contingent consideration financial
"Gain on contingent consideration of $(450) is included in prior-year results"
Contingent consideration is an additional payment agreed when one company buys another that will be paid later only if specific future targets are met, such as revenue, profit, or regulatory milestones. It matters to investors because it shifts risk between buyer and seller and affects the acquiring company's future cash flow and reported value — like promising a bonus after results are proven.
strategic alternatives review financial
"Costs for the strategic alternatives review were $385 in Q2 2026"
A strategic alternatives review is a process where a company examines different options for its future direction, such as selling parts of the business, merging with another company, or restructuring itself. This review helps management determine the best way to maximize value for shareholders. For investors, it signals that the company is exploring ways to improve its performance or unlock hidden worth, which can influence its stock price and strategic decisions.
Revenue (Q2 2026) $22,313k vs $23,506k for the thirteen weeks ended June 29, 2025

NON-GAAP FINANCIAL MEASURES

The financial results of BGSF, Inc. are prepared in conformity with accounting principles generally accepted in the United States of America (“GAAP”) and the rules of the U.S. Securities and Exchange Commission. To help the readers understand our financial performance, we supplement our GAAP financial results with Adjusted EBITDA and Adjusted EPS.

A non-GAAP financial measure is a numerical measure of a company's financial performance that excludes or includes amounts so as to be different from the most directly comparable measure calculated and presented in accordance with GAAP in the statement of income, balance sheet or statement of cash flows of a company. Adjusted EBITDA and Adjusted EPS are not measurements of financial performance under GAAP and should not be considered as alternatives to net income, net income per diluted share, operating income, or any other performance measure derived in accordance with GAAP, or as alternatives to cash flow from operating activities or measures of our liquidity. We believe that Adjusted EBITDA and Adjusted EPS are useful performance measures and are used by us to facilitate a comparison of our operating performance on a consistent basis from period-to-period and to provide for a more complete understanding of factors and trends affecting our business than measures under GAAP can provide alone.

We define “Adjusted EBITDA" as earnings before interest (income) expense, income taxes, depreciation and amortization expense, costs associated with the evaluation of potential strategic alternatives (“strategic alternatives review”), software as a service costs, and certain non-cash expenses such as share-based compensation expense, as well as certain specific events that management does not consider in assessing our on-going operating performance.

We define “Adjusted EPS” as diluted earnings per share eliminating interest (income) expense, depreciation, and amortization expense, the strategic alternatives review, software as a service costs, and certain non-cash expenses such as share-based compensation expense, as well as certain specific events that management does not consider in assessing our on-going operating performance, net of the respective income tax effect.
