Rhea-AI Filing Summary

BHAV Acquisition Corp II (BHAIU) completed its initial public offering of 10,000,000 units at $10.00 per unit, generating $100,000,000 in gross proceeds. Each unit contains one Class A ordinary share and one right to receive one-fourth of a Class A ordinary share upon completion of an initial business combination. A concurrent private placement sold 225,000 units to sponsor BHAV Partners II LLC for $2,250,000 in gross proceeds; $100,500,000 from the offerings was deposited into a trust account.

The trust funds are held until completion of a business combination or specified public-share redemption events; trust interest may be released for taxes and dissolution expenses. The company issued 350,000 Class A ordinary shares to the underwriter’s designee as underwriting compensation, subject to transfer restrictions. The company granted the underwriter a 45-day option to purchase up to 1,500,000 additional units at the offering price less the underwriting discount to cover over-allotments, if any.

Effective October 29, 2026, Piyush Sadana, John Patrick O’Connell and Balaji Swaminathan became members of the board and its audit, nominating and compensation committees. Swaminathan, O’Connell and Sadana chair those committees, respectively. The sponsor transferred non-managing membership interests representing indirect interests in an aggregate of 150,000 founder shares to the directors, including an interest in 100,000 shares for Swaminathan.

initial business combination financial
"upon completion of the Company’s initial business combination"
An initial business combination is the deal in which a special-purpose acquisition company (SPAC) merges with or acquires an operating business to bring that business onto public markets. Think of the SPAC as an empty shell that raises money from investors, then uses that cash to buy a private company—this transaction turns the private company into a public one and often changes its ownership, valuation, and access to capital, so investors should watch for shifts in risk, future growth prospects, and shareholder rights.
private placement units financial
"private placement units purchased by BHAV Partners II LLC"
over-allotments financial
"to cover over-allotments, if any"
An over-allotment is a temporary extra batch of shares that the underwriters of a stock offering are allowed to sell beyond the original amount, with the right to buy those shares back later. Think of it as spare tickets sold to meet demand and then reclaimed if needed to keep the market orderly; it helps stabilize the stock price after an offering and can affect short-term supply and potential dilution, which matters to investors tracking price and ownership stakes.
trust account financial
"placed in the trust account with Continental Stock Transfer"
A trust account is a special bank or brokerage account where assets are held and managed by a designated person or firm (the trustee) for the benefit of another person or group (the beneficiary). It matters to investors because it separates assets from personal or corporate funds, can protect assets, control how and when money is used, and may affect tax or legal rights—think of it as a locked drawer opened only under agreed rules.
