The loan provides $60 million at closing and an earnout facility of up to $15 million, for a total potential amount of $75 million. Interest is floating at one-month Term SOFR plus 2.65%, subject to a 5.30% floor except where the applicable balance is covered by a qualifying interest rate swap. Payments are interest-only before October 30, 2029; afterward, monthly principal and interest are based on a 25-year amortization period, with the remaining balance due at maturity. Earnout advances are subject to conditions including no continuing event of default, debt yield of at least 11.5% for two consecutive fiscal quarters and, if required by the lender, a loan-to-value ratio no greater than 55%. The company said its next hard debt maturity is December 2028.

earnout facility financial
"an earnout facility of up to $15 million"
debt yield financial
"debt yield of at least 11.5%"
Debt yield is a simple ratio that divides a property's annual net operating income by the total loan amount, showing the annual return a lender would get from the asset's cash flow if they took ownership. It matters to investors and lenders because it measures the cash-flow cushion against the loan—like a speedometer for risk that does not change with interest rates, helping compare loans on a common basis.
loan-to-value ratio financial
"loan-to-value ratio of no greater than 55%"
The loan-to-value ratio (LTV) measures how large a loan is compared with the worth of the asset used as collateral, expressed as a percentage — for example, a $80,000 loan on a $100,000 property equals an 80% LTV. It matters to investors because higher LTVs mean higher risk of loss if the asset falls in value, and they influence borrowing costs, loan approval, and the stability and pricing of securities backed by such loans; think of it like how deep your financial safety net is under a loan.
Term SOFR financial
"one-month Term SOFR plus 2.65%"
Term SOFR is a benchmark interest rate that reflects the cost of borrowing money over a specific period, based on actual transactions in the financial markets. It is used by lenders and borrowers to set the interest rates on loans and financial contracts, helping to ensure rates are fair and transparent. For investors, understanding term SOFR helps gauge borrowing costs and the overall direction of interest rates in the economy.
25-year amortization period financial
"based on a 25-year amortization period"
