Brookfield Infrastructure Partners L.P. (BIP) unitholders approved resolutions for the proposed corporate simplification, including a plan of arrangement and amendments to BIP’s limited partnership agreement. About 60% of BIP units outstanding as of August 21, 2026, were represented at the meeting. Over 99% of votes cast supported each resolution, including over 99% of minority votes cast; all approvals required from BIP unitholders have been obtained.
The simplification would convert BIP into a Canadian corporation, Brookfield Infrastructure Partners Inc. (BIP Inc.), and BIP unitholders would receive its Class A subordinated voting shares. BIP’s conversion is not conditional on Brookfield Infrastructure Corporation (BIPC) shareholder approval. BIPC shareholders are scheduled to vote October 29, 2026; if they approve, BIPC exchangeable-share holders would also receive BIP Inc. Class A shares. If they do not, the exchangeable shares would remain outstanding and become exchangeable one-for-one upon closing of the BIP transaction. A hearing for the final court order is expected on or about November 3, 2026, if necessary approvals are obtained; completion is anticipated in the fourth quarter of 2026, subject to the order.
Brookfield Infrastructure Partners L.P. reported that unitholders approved the BIP Transaction Resolutions at the October 14, 2026 special meeting. The resolutions comprised the BIP Arrangement Resolution and BIP LPA Amendment Resolution. Holders of 275,237,544 Units, representing 60.13% of the 457,714,670 issued and outstanding Units on the record date, were represented.
The arrangement resolution received 273,870,763 votes for (99.51%) and 1,338,891 against (0.49%); Minority Unitholders cast 268,459,996 for (99.50%) and 1,338,891 against (0.50%). The LPA amendment received 273,910,809 votes for (99.53%) and 1,298,845 against (0.47%); Minority Unitholders cast 268,500,042 for (99.52%) and 1,298,845 against (0.48%). Approval required a simple majority of outstanding Units and a simple majority of votes cast by Minority Unitholders present in person or represented by proxy. No other matters required a unitholder vote.
Brookfield Infrastructure Partners L.P. (BIP) reported that Brookfield Infrastructure Corporation (BIPC) adjourned its special shareholder meeting on the proposed corporate simplification to October 29, 2026, at 10:00 a.m. EDT. The meeting will be virtual; BIPC’s record date remains August 21, 2026, and registered shareholders’ proxy deadline is October 27, 2026, at 5:00 p.m. EDT. Previously submitted proxies do not need to be submitted again. BIP’s special unitholder meeting remains scheduled virtually for October 14, 2026, at 9:00 a.m. EDT.
If approved, the simplification would combine BIP and BIPC into one publicly traded corporation, Brookfield Infrastructure Partners Inc. Completion is anticipated in the fourth quarter of 2026, subject to the final court order and required regulatory approvals. If necessary securityholder approvals are obtained, a final hearing is expected on or about November 3, 2026. The boards of BIP and BIPC recommend that their respective unitholders and shareholders vote in favor.
