On January 15, 2026, Elizabeth M. Schmalz Shaheen
resigned as a director of BNB Plus Corp. (the “Company”), effective immediately. Ms. Schmalz Shaheen’s resignation was
not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
