The
registrant is unable to file its Annual Report on Form 10-K for the fiscal year ended June 30, 2026, within the prescribed time period
without unreasonable effort or expense.
The
delay is solely attributable to logistical and technical challenges associated with the final compilation, formatting, and conversion
of the report into the required electronic Inline XBRL (iXBRL) format. The registrant's financial statements and related disclosures
have been completed, and there are no disagreements, disputes, or issues with the company’s independent registered public accounting
firm regarding the financial statements, accounting principles, or internal controls.
The
registrant is working expeditiously to finalize the technical formatting and expects to file the Form 10-K within the extension period
provided under Rule 12b-25.
