As a Form 6-K, this filing furnishes material interim information and reports BOS’s unaudited results for the six months ended June 30, 2026; the GAAP statements are incorporated by reference into all effective registration statements, unless later filings supersede them.

The filing’s balance sheet reports June 30, 2026 cash of $10,378 thousand and total current liabilities of $13,905 thousand. It defines the reported $31 million backlog as the estimated value of firm customer orders under contract, while stating that customers may cancel, modify, or delay those orders.

contracted backlog financial
"Contracted backlog Represents the estimated value of firm customer orders"
Contracted backlog is the total dollar value of customer orders or projects that a company has formally committed to deliver but has not yet completed or recognized as revenue. For investors it is a forward-looking measure of expected future sales and cash flow—like a paid to-do list that shows the pipeline of work—but it can overstate certainty if contracts are cancellable, delayed, or subject to change.
non-GAAP measures financial
"also provides certain non-GAAP measures. These non-GAAP measures are not"
Financial results that companies present using formulas or adjustments different from standard accounting rules (GAAP) to highlight what management considers the business’s ongoing performance. Investors care because these figures can make trends or profitability look clearer—like showing a car’s fuel efficiency after removing unusual trips—but they can also hide one‑time costs or aggressive assumptions, so comparing them with GAAP numbers helps judge reliability.
EBITDA financial
"CONDENSED CONSOLIDATED EBITDA (U.S. dollars in thousands)"
EBITDA stands for earnings before interest, taxes, depreciation, and amortization. It measures a company's profitability by focusing on the money it makes from its core operations, ignoring expenses like taxes and accounting adjustments. Investors use EBITDA to compare how well different companies are performing financially, as it provides a clearer picture of operational success without the influence of financial structure or accounting choices.
impairment of goodwill financial
"Impairment of goodwill | | | - | | | | 700"
An impairment of goodwill happens when the extra value a company recorded for purchases like brands, customer lists or reputation turns out to be worth less than originally thought, so accountants reduce that value on the books. It matters to investors because it signals that past acquisitions are not delivering expected benefits, like discovering a purchased car is less reliable than advertised, and can lower reported earnings and the company's perceived future cash-generating power.
operating lease right-of-use assets financial
"OPERATING LEASE RIGHT-OF-USE ASSETS, NET | | | 856"
An operating lease right-of-use (ROU) asset is an accounting entry that shows the value of a leased item you have the legal right to use—like a building, vehicle, or equipment—recorded on a company’s balance sheet along with the corresponding lease obligation. Investors care because it adds to reported assets and liabilities, changing measures like leverage and return on assets much like bringing a long-term rental onto the company’s financial snapshot, which can affect credit terms and valuation.

FAQ

How did BOSC’s revenue perform in the second quarter of 2026?

BOSC’s second-quarter 2026 revenue rose 29% year-over-year to $14.85 million, compared with $11.53 million in the second quarter of 2025. This growth helped offset a weaker first quarter and kept first-half revenue roughly in line with the prior year.

What is BOSC’s revenue and net income guidance for full-year 2026?

Management expects full-year 2026 revenue to exceed $51 million and raised net income guidance to exceed $3.6 million. The company bases this outlook on strong backlog visibility and first-half performance across its RFID, Supply Chain, and Intelligent Robotics divisions.

How large is BOSC’s backlog as of June 30, 2026, and what does it imply?

BOSC reported a record $31 million contracted backlog at June 30, 2026, unchanged from the prior quarter. About $20 million is scheduled for delivery by year-end, representing a high proportion of recent annual revenue levels and supporting management’s 2026 guidance.

How did BOSC’s profitability change in the first half of 2026?

First-half 2026 net income was $2.13 million, slightly above $2.11 million a year earlier, while diluted EPS declined to $0.30 from $0.33 due to a higher share count following 970,000 shares issued on warrant and option exercises in 2025.

What impact did currency fluctuations have on BOSC’s 2026 results?

The depreciation of the U.S. dollar against the New Israeli Shekel increased operating expenses by about $0.6 million in the first half of 2026 versus 2025. Management noted this exchange-rate effect created pressure on profitability despite operational improvements.

How did BOSC’s RFID and Supply Chain divisions perform in the first half of 2026?

In the first half of 2026, the RFID division’s revenue grew 17.5% year-over-year, while Supply Chain revenue declined 5.8%. Management described Supply Chain softness as temporary, citing backlog trends, and continues to focus on organic growth across all divisions.

BOS Reports Second Quarter and First Half 2026 Financial Results

Second Quarter Revenue Grew 29% Year-Over-Year to $14.9 Million

Raises Full-Year 2026 Net Income Guidance

RISHON LE ZION, Israel, August 20, 2026 -- BOS Better Online Solutions Ltd. (“BOS” or the “Company”) (Nasdaq: BOSC), an integrator of supply chain technologies for the aerospace, defense, industrial and retail sectors, today announced its financial results for the second quarter and first half ended June 30, 2026.

Second Quarter 2026 Financial Highlights

Revenue was $14.9 million, up 29% from $11.5 million in the second quarter of 2025.

Gross profit was $3.4 million, or 23.0% of revenue, compared to $2.6 million, or 22.8% of revenue, in the second quarter of 2025.

Operating income was $1.1 million, compared to $0.1 million in the second quarter of 2025, which included a $0.7 million goodwill impairment charge.

EBITDA was $1.3 million, compared to $0.9 million in the second quarter of 2025.

Net income was $1.4 million, or $0.19 per diluted share, compared to net income of $0.8 million, or $0.12 per diluted share, in the second quarter of 2025.

First Half 2026 Financial Highlights

Revenue was $26.2 million, compared to $26.6 million in the first half of 2025.

Gross profit was $6.2 million, or 23.8% of revenue, compared to $6.2 million, or 23.4% of revenue, in the first half of 2025.

Operating income was $1.7 million, compared to $1.8 million in the first half of 2025; the 2025 period included a $0.7 million goodwill impairment charge.

EBITDA was $2.2 million, compared to $2.8 million in the first half of 2025.

Net income was $2.1 million, or $0.30 per diluted share, compared to net income of $2.1 million, or $0.33 per diluted share, in the first half of 2025.

“Second-quarter 2026 revenue grew 29% year-over-year, helping offset a softer first quarter of 2026 and bringing first-half 2026 revenue roughly in line with last year,” said Eyal Cohen, BOS’ CEO. “Our backlog remained at a record $31 million as of the end of the second quarter of 2026, unchanged from the previous quarter, despite 30% quarter-over-quarter revenue growth. Approximately $20 million of the backlog is scheduled for delivery by year-end. Together with first-half revenue, this amount represents approximately 91% of our full-year 2025 revenue. Accordingly, we continue to expect full-year 2026 revenue to exceed $51 million, and we are raising our net income guidance to exceed $3.6 million.

Growth in the first half was led by our RFID division, up 17.5% year-over-year, while Supply Chain revenue softened by 5.8%, which we view as temporary based on backlog trends,” concluded Eyal Cohen.

Moshe Zeltzer, BOS’ Chief Financial Officer, stated: “The depreciation of the U.S. dollar against the New Israeli Shekel increased our operating expenses by approximately $0.6 million in the first half of 2026, compared to the first half of 2025, creating pressure on our profitability. We are responding to the depreciation of the U.S. dollar by working to accelerate revenue growth and improve gross profit margins.

The diluted earnings per share for the first half declined to $0.30 from $0.33 in the comparable period primarily due to 970,000 shares issued upon warrant and option exercises in the second half of 2025. The proceeds from the exercises amounted to $2.9 million, which we plan to deploy toward acquisitions that are expected to increase our earnings. We remain focused both on organic growth across all three divisions and on continuing to evaluate selective bolt-on acquisitions.”
