(“Berkshire”) issued (i) ¥128,900,000,000 aggregate principal amount of its 2.077% Senior Notes due 2029, (ii) ¥86,800,000,000 aggregate principal amount of its 2.465% Senior Notes due 2031, (iii) ¥22,300,000,00 aggregate principal amount of its 2.739% Senior Notes due 2033, (iv) ¥27,300,000,000 aggregate principal amount of its 3.084% Senior Notes due 2036, (v) 2,000,000,000 aggregate principal amount of its 3.452% Senior Notes due 2041 and (vi) 5,000,000,000 aggregate principal amount of its 4.037% Senior Notes due 2056 ((i) through (vi) collectively, the “Notes”) under a registration statement on Form S-3 under the Securities Act of 1933, as amended (the “Securities Act”), filed with the Securities and Exchange Commission (the “Commission”) on January 31, 2025 (Registration No. 333-284622) (the “Registration Statement”). The Notes were sold pursuant to an underwriting agreement entered into on April 10, 2026, by and among (a) Berkshire and (b) Mizuho Securities USA LLC and Merrill Lynch International.

The Notes were issued under an Indenture, dated as of January 31, 2025, by and among Berkshire, Berkshire Hathaway Finance Corporation and The Bank of New York Mellon Trust Company, N.A. (the “Indenture”) and (i) an officers’ certificate dated as of April 16, 2026 by Berkshire with respect to its 2.077% Senior Notes due 2029 (the “2029 Notes Officers’ Certificate”), (ii) an officers’ certificate dated as of April 16, 2026 by Berkshire with respect to its 2.465% Senior Notes due 2031 (the “2031 Notes Officers’ Certificate”), (iii) an officers’ certificate dated as of April 16, 2026 by Berkshire with respect to its 2.739% Senior Notes due 2033 (the “2033 Notes Officers’ Certificate”), (iv) an officers’ certificate dated as of April 16, 2026 by Berkshire with respect to its 3.084% Senior Notes due 2036 (the “2036 Notes Officers’ Certificate”), (v) an officers’ certificate dated as of April 16, 2026 by Berkshire with respect to its 3.452% Senior Notes due 2041 (the “2041 Notes Officers’ Certificate”) and (vi) an officers’ certificate dated as of April 16, 2026 by Berkshire with respect to its 4.037% Senior Notes due 2056 (the “2056 Notes Officers’ Certificate”), ((i) through (vi) collectively, the “Officers’ Certificates”).
