Rhea-AI Filing Summary

Dynamic Aerospace Systems Corporation (BRQL) entered into financing agreements with Chief Operating Officer and director Jeffrey Hail and Chief Executive Officer and Chairman Kent Wilson on October 16, 2026. Hail's agreements include a $35,581.67 secured note at 18% simple interest; a revolving line capped at $90,000 in principal charges, excluding interest, with a $105,452.71 opening balance and 29.99% interest compounded monthly; and an amended short-term loan with $128,171.06 outstanding after repayments. Wilson's revolving line has a $40,000 principal-charge limit and a $49,977.58 opening balance, on substantially the same terms as Hail's line.

The amended loan consolidates $135,000 in Hail advances and directs 15% of gross proceeds from certain capital raises to repayment to the extent cash flow permits. Each agreement matures on the earlier of December 31, 2026, and the closing of a public offering in connection with a national securities exchange listing; without an offering, maturity is the fifth business day after listing. Hail and Wilson each waived defaults from nonpayment on original maturity dates. Secured obligations rank junior to senior secured indebtedness; Hail's note and both revolving lines are also subordinated in right of payment. Chief Financial Officer Robin Hoops' annual base salary increased from $185,000 to $200,000, effective September 16, 2026.

Filing Explained

The filing also amends Wilson’s September 2025 note, moving maturity from September 10, 2026 to the earlier of December 31, 2026 and a listing-related public offering closing (or, without an offering, the fifth business day after listing); the $54,000 note retains 18% interest.

original issue discount financial
"a 5% original issue discount and a flat interest charge of 15%"
Original issue discount (OID) is the difference between a debt security’s face value and the lower price at which it is first sold, treated as additional interest that accrues over the life of the instrument. For investors it matters because OID raises the effective yield and changes taxable income and the holding’s cost basis over time — think of buying a $100 voucher for $90 and recognizing the $10 gain as earned interest as the voucher approaches maturity.
simple interest financial
"bearing simple interest at 18% per annum"
Simple interest is a way of calculating interest where payments are based only on the original amount lent or invested, not on interest that accumulates over time. Think of it like getting a fixed tip each period on the initial bill rather than earning interest on the tip itself; it keeps returns predictable and makes it easy for investors and borrowers to compare total interest cost or income over a set term.
subordinated in right of payment financial
"subordinated in right of payment to that indebtedness"
gross proceeds financial
"15% of the gross proceeds of certain capital raises"
The total amount of cash a company receives from a financing event or sale before any fees, expenses, taxes or deductions are taken out. Investors watch gross proceeds because it shows the raw scale of new capital being raised—think of it as the paycheck amount before withholdings—which helps assess how much funding is available for operations, growth, debt payoff or how much shareholder dilution might occur once costs are removed.
