Rhea-AI Filing Summary

BTCS Inc. is offering to purchase for cash its Series V Preferred Stock with an aggregate purchase price of up to $500,000, through a modified Dutch auction at a price per share of $0.04 to $1.00, subject to the terms and conditions in the Offer to Purchase and Letter of Transmittal. Sellers receive the purchase price net in cash, without interest and less applicable withholding taxes. Shares purchased will be retired and resume authorized but unissued preferred-stock status. The offer is not subject to a financing condition.

There were 15,671,405 Series V shares outstanding as of October 23, 2026; directors and executive officers hold 3,504,348 shares and have advised they will not tender any. Series V shares are non-voting except as required by law or for amendments to the Certificate of Designation. At the board's discretion, holders may receive dividends or distributions of up to 20% per annum and participate in distributions to common stockholders. In liquidation, Series V ranks senior to common stock and junior to indebtedness, with holders entitled to 120% of the amount per share they would receive if converted into one common share immediately before the liquidating payment.

Filing Explained

BTCS says its board may, in its sole discretion, convert each Series V share into one common share; it has not done so and is contractually restricted from converting while any of its May or July 2025 senior secured convertible notes remain outstanding.

modified Dutch auction financial
"through a procedure commonly referred to as a “modified Dutch auction”"
A modified Dutch auction is a way for a company to buy back shares or sell securities by asking shareholders or bidders to state how many shares they’re willing to trade and at what minimum price, then setting a single clearing price that satisfies the target quantity. Think of it like collecting offers at different prices and picking one fair price so the company buys or sells the needed amount; investors care because it can produce a transparent, market-driven price and a predictable size for the transaction, reducing the chance of favoritism or sudden price swings.
Certificate of Designation regulatory
"amendments to the Certificate of Designation"
A certificate of designation is a formal document that spells out the specific rights and rules attached to a particular class or series of stock, usually preferred shares. Think of it as a rulebook or menu that lists dividend terms, liquidation priority, conversion or redemption rights and any special voting protections; investors use it to judge how much income, control or downside protection those shares will provide compared with other securities.
authorized but unissued shares financial
"resume the status of authorized but unissued shares of preferred stock"
Authorized but unissued shares are the number of shares a company is legally allowed to create but has not yet issued to investors, employees, or other parties. They matter to investors because issuing those reserved shares in the future can dilute existing ownership, raise cash, or be used for employee pay and acquisitions—like having empty slots a company can fill later, which changes voting power and per-share value.
senior secured convertible notes financial
"May 2025 or July 2025 senior secured convertible notes remain outstanding"
A senior secured convertible note is a loan a company issues that sits near the top of its repayment order (senior), is backed by specific assets as collateral (secured), and can be swapped into company shares later (convertible). For investors this matters because it combines lower risk of repayment and legal protection from the collateral with the upside of converting into equity—so it affects both the safety of debt holders and potential dilution for shareholders.
