Beneficially owned describes securities or assets where a person has the economic rights and control—such as the right to receive dividends and to direct voting—even if legal title is held in another name. Think of it like having the keys and using a car that’s registered to someone else: you get the benefits and make decisions. Investors care because beneficial ownership reveals who truly controls value and voting power, affecting corporate decisions and takeover dynamics.

Explanation of Responses:
Remarks:
This amendment is being filed to correct the Form 4 originally filed on October 26, 2026. The original Form 4 inadvertently reported the acquisition of 29,099 shares of Common Stock upon the exercise of an option on October 22, 2026 in column 4, rather than 36,166 shares (the amount of Common Stock beneficially owned in column 5 was correctly reported), and separately inadvertently reported a disposition of 7,067 shares on that date under transaction code F. The Reporting Person acquired 36,166 shares upon exercise of the option, and no disposition of 7,067 shares occurred. Accordingly, this amendment corrects the number of shares acquired on October 22, 2026, removes the erroneously reported disposition, and corrects the amount of Common Stock beneficially owned following the October 23, 2026 transaction.
