Rhea-AI Filing Summary

Beazer Homes USA, Inc. (BZH) completed its merger with Dream Finders Homes, Inc. on October 20, 2026, and became a wholly owned subsidiary of Dream Finders Homes. Each eligible Beazer share issued and outstanding immediately before the merger converted into the right to receive $33.50 in cash, without interest and subject to required withholding taxes. Treasury shares, shares held by Dream Finders Homes, Merger Sub or specified wholly owned subsidiaries, and properly perfected appraisal shares were excluded; appraisal holders became entitled to rights under Delaware law.

All outstanding obligations due under Beazer’s Credit Agreement were repaid in full and the agreement was terminated. Dream Finders Homes deposited sufficient funds with the trustee to fund redemption of the outstanding 2029 Notes, described as $350 million aggregate principal amount of 7.250% Senior Notes due 2029. Trading in Beazer shares was halted before the October 20 opening. Beazer requested NYSE suspension and a Form 25 delisting filing; delisting will be effective 10 days after Form 25 is filed. Beazer expects to file Form 15 after that effectiveness to seek termination of registration and suspension of reporting obligations for the shares.

Filing Explained

At closing, former Beazer equity-award holders retained only any payment rights provided by the merger agreement.

On October 20, 2026, the merger closed: Beazer’s prior directors resigned, directors of Dream Finders’ merger subsidiary took their seats, and Beazer’s officers continued in office.

At closing, holders of Beazer options, restricted stock awards, performance-based restricted stock awards and performance-based cash awards ceased to have rights tied to those awards except for any payment due under the merger agreement.

Merger Consideration financial
"right to receive $33.50 in cash (the “Merger Consideration”)"
Merger consideration is the total payment a company or buyer offers to shareholders of a target company in exchange for combining the two businesses, and can include cash, shares in the surviving company, debt assumption, or a mix of these. Investors care because the form and amount affect the deal’s value, tax consequences, immediate cash received versus future ownership, and the risk and upside of holding new shares — similar to choosing between cash now or stock that could grow later.
Dissenting Shares regulatory
"with respect to such Shares (“Dissenting Shares”)"
Dissenting shares are shares held by investors who formally oppose a proposed corporate action—such as a merger or takeover—and choose to demand a cash payment for the value of their stock instead of accepting the deal’s terms. This matters to investors because it can slow or complicate a transaction, trigger a legal process to set a fair price, and affect how much cash a company must pay out, which in turn influences the financial outcome for all shareholders.
appraisal rights regulatory
"demand for appraisal rights in accordance with Section 262"
A legal right that lets shareholders who dislike the price or terms of a buyout, merger or other major corporate change ask for an independent determination of the fair value of their shares instead of accepting the deal price. Think of it like asking a neutral referee to set the payout if you believe the offered price is too low. For investors, appraisal rights can provide a way to recover a higher cash value but can be slow, costly and create uncertainty around deal outcomes.
Form 25 regulatory
"application on Form 25 to delist and deregister the Shares"
A Form 25 is an official filing with the U.S. Securities and Exchange Commission used to remove a company's stock or other security from a national exchange list. Investors should care because delisting often means less visibility, lower trading volume and wider price swings—similar to a product moving from a major supermarket to a small local market, which can make buying, selling and valuing the security more difficult.
Form 15 regulatory
"certification on Form 15 requesting the termination of registration"
A Form 15 is a short filing a public company uses with the U.S. Securities and Exchange Commission to stop or pause its routine public reporting requirements when it meets certain legal thresholds (such as a low number of public shareholders) or other qualifying conditions. Investors should care because filing one typically means less public financial information and lower trading liquidity—similar to a shop taking down its public notice board, making it harder to track performance and buy or sell shares.
