Rhea-AI Filing Summary

Churchill Capital Corp XI and Agility Robotics announced an expected gross capital raise for Agility of approximately $465 million in connection with their proposed business combination and related financings, before transaction expenses. The announced components are approximately $164 million from Churchill’s trust account, approximately $201 million from a common stock PIPE committed at $10 per share, and $100 million of equity funding already received following the combination announcement. Foxconn is leading the PIPE, with participation from existing and new institutional investors.

The combination is expected to close November 4, 2026, subject to Churchill shareholder approval at the November 2 extraordinary general meeting and customary closing conditions. At closing, all existing Agility shareholders will roll their equity into the combined company and be subject to a 180-day lock-up. The combined company is expected to operate as Agility Robotics, with common stock expected to begin trading on Nasdaq under AGLT on November 5, 2026. Agility also has more than $300 million in committed multi-year Digit 5 orders, representing potential value expected over time subject to contractual milestones, product features, and specifications; this is not current-period revenue.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Agility Robotics and Churchill Capital Corp XI Announce Expected Gross Capital Raise of Approximately $465 Million and Anticipated Closing of Business Combination

Business combination expected to close on November 4, 2026, subject to Churchill XI shareholder approval; the combined company expected to begin trading on Nasdaq under ticker symbol “AGLT” on November 5, 2026.

Agility is expected to be the only U.S. publicly listed pure-play humanoid robotics company with proven, active commercial deployments.

SALEM, Ore. and NEW YORK – October 30, 2026 — Agility Robotics, a leading humanoid robotics and physical AI company, and Churchill Capital Corp XI (Nasdaq: CCXI) (“Churchill XI”), a publicly traded special purpose acquisition company, today announced that, following the expiration of Churchill XI’s redemption deadline, Agility’s gross capital raise in connection with the proposed business combination and related financings is expected to be approximately $465 million, before transaction expenses.

The gross capital raise includes: (i) approximately $164 million from Churchill XI’s trust account; (ii) approximately $201 million from a common stock PIPE committed at $10 per share, led by Foxconn with participation from leading existing and new institutional investors; and (iii) $100 million of equity funding already received following the announcement of the business combination.

Agility is expected to enter the public markets well capitalized to execute its planned investments in commercial expansion and support growing customer demand.

As highlighted in Agility’s October 26 announcement, recent commercial momentum includes an expansion of its relationship with GXO to deploy Digit at two additional facilities, a commercial agreement with AGCO for a manufacturing pilot expected to begin in 2027, and three additional manufacturing customers participating in paid programs. Agility’s active pipeline includes more than 30 prospective customers across manufacturing, automotive, aerospace, defense, logistics, and consumer products, reflecting demand for humanoid robots to automate repetitive, physically demanding work that can be difficult to address with traditional robotics.

Digit 5, unveiled on September 15, 2026, is designed to work safely alongside people and support a broader range of industrial workflows. Agility is on track to begin deliveries to early-access customers in the first half of 2027, with general availability targeted for the end of 2027. Agility has previously disclosed more than $300 million in committed multi-year orders for Digit 5. This figure represents potential multi-year value expected to be realized over time, subject to satisfaction of contractual milestones, product features, and specifications, and does not represent current-period revenue.

Agility is supported by leading strategic investors and partners across the AI, technology, venture capital, and industrial ecosystem, including NVIDIA, Amazon, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico, DCVC, and Playground Global. Demonstrating strong alignment with public shareholders, all existing Agility shareholders will roll their equity into the combined company and will be subject to a 180-day lock-up at closing.

Subject to approval by Churchill XI shareholders at the extraordinary general meeting on November 2, 2026, and the satisfaction of customary closing conditions, the business combination and related PIPE financing are expected to close on November 4, 2026.

Following closing, the combined company will operate as Agility Robotics, and its common stock is expected to begin trading on the Nasdaq Stock Market under the ticker symbol “AGLT” on November 5, 2026. The transaction is expected to create the only U.S. publicly listed pure-play humanoid robotics company with proven, active commercial deployments.
