Exhibit A. Joint Filing Agreement (incorporated by reference to Exhibit A to the Schedule 13G filed by the Reporting Persons with the Securities and Exchange Commission on August 14, 2025).
What stake does Junjie Zhang report in Chagee (CHA) in this Schedule 13G/A amendment?
Junjie Zhang reports beneficial ownership of 98,126,701 shares, representing 51.4% of Chagee Holdings’ Class A and Class B ordinary shares as of December 31, 2025. This includes Class B shares, options, and securities subject to irrevocable proxy arrangements.
How many Chagee (CHA) shares does Partea Ltd. beneficially own according to the filing?
Partea Ltd. reports beneficial ownership of 65,274,107 Class B ordinary shares, representing 34.2% of the relevant class. These Class B shares are controlled through a trust structure ultimately linked to Junjie Zhang, who retains investment power over the trust’s assets under the described arrangements.
Why did Chagee’s reporting persons file Amendment No. 1 to Schedule 13G?
Amendment No. 1 is filed solely to update percentage ownership figures. The changes arise from dilution caused by new Class A shares issued under Chagee’s employee benefit plan and adjustments to the number of Class A shares deemed beneficially owned under irrevocable proxy and power of attorney arrangements.
Did Junjie Zhang or Partea Ltd. dispose of Chagee (CHA) shares in connection with this amendment?
The amendment states it is not filed in connection with any disposition of Class A ordinary shares by the reporting persons. Instead, it reflects percentage changes driven by additional Class A share issuances and revisions to securities deemed beneficially owned through proxy arrangements.
How does Junjie Zhang’s voting power in Chagee (CHA) compare with his dispositive power?
Junjie Zhang has sole voting power over 98,126,701 shares, including Class B shares, options, and securities subject to irrevocable proxy. He has sole dispositive power over 65,531,473 shares, consisting of the 65,274,107 Class B shares held by Partea Ltd. and 257,366 Class A shares underlying options.
What role do Class B ordinary shares play in Chagee (CHA) control according to the filing?
The filing notes 65,274,107 Class B ordinary shares held by Partea Ltd., each entitled to ten votes. These high-vote Class B shares, controlled through a Cayman trust structure associated with Junjie Zhang, significantly contribute to his reported 51.4% beneficial ownership and control profile.
