Rhea-AI Filing Summary

CitroTech Inc. closed an underwritten public offering of 2,240,000 common shares at $2.50 per share, generating approximately $5.6 million in aggregate gross proceeds before underwriting discounts, commissions and estimated offering expenses payable by the company. The offering closed on October 22, 2026; its registration statement was declared effective on October 20, 2026.

CitroTech paid the underwriters a 7.0% discount on gross proceeds and reimbursed Univest Securities, LLC, the representative, $50,000 for actual and accountable out-of-pocket expenses. The underwriting agreement granted the representative a 45-day option to purchase up to 336,000 additional shares at the public offering price, less the underwriting discount. CitroTech said it intends to use net proceeds for working capital and other general corporate purposes. Univest acted as sole book-running manager.

Item 7.01 Regulation FD Disclosure Disclosure
Material non-public information disclosed under Regulation Fair Disclosure, often investor presentations or guidance.
Item 9.01 Financial Statements and Exhibits Exhibits

Common shares offered 2,240,000 shares Underwritten public offering closed October 22, 2026

Underwriting discount 7.0% of gross proceeds Paid to the underwriters
Expense reimbursement $50,000 Representative's actual and accountable out-of-pocket offering expenses
Registration statement effective date October 20, 2026 Registration statement for the public offering
underwriting discount financial
"an underwriting discount of 7.0% of the gross proceeds"
The underwriting discount is the fee that investment banks or broker-dealers keep when they buy securities from an issuer and resell them to the public; it’s the difference between the price paid to the company and the public offering price, shown per share or as a percentage. It matters to investors because it reduces the cash the company actually raises and is a cost built into the deal—like a sales commission—so a larger discount can mean higher issuance costs, tighter returns for new investors, and a signal about how much effort underwriters must expend to sell the offering.
aggregate gross proceeds financial
"aggregate gross proceeds from the offering"
Aggregate gross proceeds are the total amount of money a company expects to receive from a securities offering or financing before any fees, expenses or deductions are taken out. For investors, this number shows the scale of new capital entering the business—like the size of a fuel tank refill—and helps gauge how much cash will be available to pay debts, fund growth or dilute existing ownership.
book-running manager financial
"acting as sole book-running manager for the offering"
A book-running manager is the lead organizer responsible for coordinating a large financial sale, such as issuing new stocks or bonds. They oversee preparing all necessary documents, setting the sale’s price, and finding buyers, much like a concert promoter arranging a major event. Their role matters to investors because they help ensure the offering is successfully sold at the best possible terms.
registration statement regulatory
"pursuant to a registration statement on Form S-1"
A registration statement is a formal document that companies file with a government agency to offer new shares of stock to the public. It provides essential information about the company's finances, operations, and risks, helping investors make informed decisions. Think of it as a detailed product description that ensures transparency and trust before buying into a company.
