Rhea-AI Filing Summary

CollPlant Biotechnologies Ltd. (CLGN) closed a private placement on October 14, 2026, for 989,301 ordinary shares or pre-funded warrants in lieu, plus ordinary warrants to purchase up to 1,483,950 shares. Package prices were $3.74 per ordinary share with an accompanying warrant and $3.7499 per pre-funded warrant with an accompanying warrant. Gross proceeds are expected to be approximately $3.7 million before placement-agent fees and other expenses; net proceeds are intended for general corporate purposes, including working capital and research and development.

Ordinary warrants carry a $3.74 exercise price, are exercisable upon issuance, and expire five years after the effective date of a registration statement covering the underlying shares. CollPlant agreed to file a resale registration statement within 60 calendar days following October 9, 2026, and use best efforts to obtain effectiveness within 90 calendar days, or 120 calendar days if the SEC elects review. H.C. Wainwright & Co., LLC and Rodman & Renshaw LLC served as exclusive placement agents; they or their designees will receive warrants to purchase up to 59,358 shares at $4.675 per share.

Filing Explained

The placement is closed, and its immediately exercisable pre-funded warrants can dilute existing holders’ ownership if exercised.

The offering closed on October 14, 2026. Subject to customary exceptions, the purchase agreement bars CollPlant from agreeing to issue or announce ordinary shares or equivalents, or filing or amending a registration statement, for 30 days after the warrant-share registration statement becomes effective; it also bars a defined variable-rate transaction for one year after that date.

The pre-funded warrants are immediately exercisable at $0.0001 per share and do not expire until fully exercised; if exercised, they convert into ordinary shares and increase the share count, reducing existing holders’ percentage ownership absent offsetting changes.

The placement agents are entitled to a 7.0% fee on gross proceeds from ordinary-share sales, reduced to 3.5% for investors who were existing shareholders, plus a 1.0% management fee, a $35,000 expense allowance and $50,000 in legal fees and expenses.

Pre-Funded Warrants financial
"Pre-funded warrants have an exercise price of $0.0001 per Ordinary Share"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
cashless basis financial
"the Ordinary Warrants may be exercised on a cashless basis"
An agreement executed on a cashless basis lets a holder convert or exercise a security (like options, warrants, or conversion rights) without paying money upfront; instead the holder receives a smaller number of shares equal in value to what the cash would have purchased. Think of trading a coupon for fewer slices of a cake rather than handing over cash for the full slice. For investors, it affects how much ownership and dilution occur and avoids immediate cash outlays.
Registration Rights Agreement regulatory
"entered into a Registration Rights Agreement on October 9, 2026"
A registration rights agreement is a contract that gives investors the option to have their ownership stakes officially registered with the government, making it easier to sell their shares later. This agreement matters because it provides investors with a clearer path to cash out their investments if they choose, offering more liquidity and confidence in their ability to sell their holdings when desired.
variable rate transaction financial
"will not effect or enter into an agreement to effect a “variable rate transaction”"
accredited investors regulatory
"The purchasers have represented that they are accredited investors"
Accredited investors are individuals or entities considered to have enough financial knowledge and resources to understand and handle more complex and risky investments. They are often allowed to participate in private investment opportunities that are not available to the general public, similar to how experienced players might access exclusive clubs or events. This status helps ensure that investors can manage potential risks and rewards appropriately.
