Rhea-AI Filing Summary

Clearwater Paper Corp (CLW) reported third-quarter 2026 net sales of $384.9 million, versus $399.0 million a year earlier, and a net loss from continuing operations of $1.6 million, compared with $53.9 million. Clearwater Paper reported $17.5 million in additional representation and warranty insurance proceeds, a $56 million year-to-date net-debt reduction, and refinancing of all debt with maturities extended to 2031. Its Q4 2026 Adjusted EBITDA outlook is $10 million to $20 million. Senior Vice President and Chief Financial Officer Sherri Baker intends to resign, effective at the close of business November 13, 2026.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Adjusted EBITDA from continuing operations financial
"Adjusted EBITDA from continuing operations was $24 million"
Earnings before interest, taxes, depreciation and amortization (EBITDA) from continuing operations is a measure of a company’s recurring operating profit that excludes discontinued business lines. Companies further adjust that EBITDA by removing one-time, noncash, or irregular items (for example restructuring costs or gains on asset sales) to show the underlying trend. For investors it is meant to act like a cleaned-up household budget that highlights core, ongoing business performance, though what gets adjusted can vary between companies.
Adjusted net income (loss) from continuing operations financial
"Adjusted net income (loss) from continuing operations is calculated"
representation and warranty insurance financial
"Received $17.5 million in additional representation and warranty insurance proceeds"
Insurance that pays for losses arising from breaches of the seller’s representations and warranties in a merger or acquisition agreement. The policy reimburses the insured party for damages if a statement made in the purchase contract proves false, subject to the policy’s limits, retention (deductible), covered claims period, and specific exclusions; it typically does not cover matters the insured knew about before closing or intentional fraud unless expressly included. Common effects include shifting risk away from the seller, reducing or replacing escrow and indemnity holdbacks, and requiring claim proof consistent with the underlying purchase agreement’s terms.
Net debt financial
"Net debt $260.7"
Net debt is the total amount a company owes after subtracting the cash and assets it has that can be used to pay off that debt. It shows how much debt is truly a burden, helping investors understand if a company is financially healthy or heavily borrowed. Think of it like calculating how much money you owe after using your savings to pay part of it.

Item 2.02.     Results of Operations and Financial Condition.

On October 26, 2026, Clearwater Paper Corporation (the “Company”) announced its results of operations and financial condition for the third quarter ending September 30, 2026. A copy of the press release containing this announcement is furnished as Exhibit 99.1 hereto. In addition, a copy of the Company’s Third Quarter Supplemental Information is furnished as Exhibit 99.2 hereto.
In addition to disclosing financial results calculated in accordance with U.S. generally accepted accounting principles (“GAAP”), the following are disclosed in the attached Adjusted EBITDA from continuing operations, which is defined as earnings before interest expense, taxes, depreciation and amortization, other operating credits and charges, net and other non-operating items from continuing operations. Adjusted net income (loss) from continuing operations is calculated by excluding from net income, other operating credits and charges, net, income (loss) from discontinued operations, net of tax and adjusts for a normalized tax rate. Adjusted EBITDA from continuing operations and adjusted net income (loss) from continuing operations are not a substitute for the GAAP measure of net income or other GAAP measures of operating performance.
The Company discloses Adjusted EBITDA in the attached because it is used as an important supplemental measure of its performance and believes that similarly-titled measures are frequently used by securities analysts, investors and other interested persons in the evaluation of companies in its industry, some of which present similarly-titled measures when reporting their results. The Company uses Adjusted EBITDA to evaluate its performance as compared to other companies in its industry that have different financing and capital structures and/or tax rates. It should be noted that companies calculate similarly-titled measures differently and, therefore, as presented by the Company may not be comparable to similarly-titled measures reported by other companies. In addition, Adjusted EBITDA has material limitations as a performance measure because it excludes interest expense, income tax expense and depreciation and amortization which are necessary to operate the Company's business or which the Company otherwise incurred or experienced in connection with the operation of its business.
The Company believes that adjusted net income (loss) from continuing operations, which excludes goodwill impairment charges, income (loss) from discontinued operations, net of tax and other operating credits and charges, net, adjusted for a normalized tax rate is a useful measure for evaluating our ability to generate earnings and that providing this measure will allow investors to more readily compare the earnings referred to in the press release to the Company's earnings for past and future periods. The Company believes that this measure is particularly useful where the amounts of the excluded items are not consistent between the periods presented. It should be noted that other companies may present similarly-titled measures differently and, therefore, as presented by the Company may not be comparable to similarly-titled measures reported by other companies. In addition, adjusted net income has material limitations as a performance measure because it excludes items that are actually incurred or experienced in connection with the operations of the Company's business.
The information in Item 2.02, including Exhibits 99.1 and 99.2 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.

Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Departure of Officer
On October 22, 2026, Sherri Baker informed the Company that she intends to resign from her position as Senior Vice President, Chief Financial Officer of the Company. Ms. Baker’s resignation will be effective as of the close of business on November 13, 2026.

Clearwater Paper Reports Third Quarter 2026 Results
SPOKANE, Wash.--(BUSINESS WIRE)--October 26, 2026 --Clearwater Paper Corporation (NYSE:CLW), a premier independent supplier of bleached paperboard to North American converters today reported financial results for the third quarter ended September 30, 2026.
THIRD QUARTER HIGHLIGHTS
•Net sales of $385 million versus $399 million in the third quarter of 2025, primarily driven by lower market pricing
•Net loss of $2 million, or $0.10 per diluted share versus net loss of $53 million, or $3.30 per diluted share in the third quarter of 2025 with that loss primarily related to a non-cash impairment of goodwill
•Adjusted EBITDA from continuing operations of $24 million versus $18 million in the third quarter of 2025 primarily driven by timing of the Lewiston, Idaho planned major maintenance outage, partly offset by lower market pricing
•Average selling price improved by $34 per ton versus the second quarter of 2026, primarily driven by previously announced price increases and sales mix improvement
•Executed refinancing of all debt, meaningfully extending maturities
•Received $17.5 million in additional representation and warranty insurance proceeds
•Reduced net debt by $56 million year to date, driven by net working capital reductions, tax refunds and additional representation and warranty insurance proceeds
"We delivered strong commercial execution during the quarter, with average selling prices increasing versus the second quarter. We successfully implemented our first announced price increase and continue to make meaningful progress on implementing the second increase," said Arsen Kitch, president and chief executive officer. "Our volumes and costs were negatively affected by a significant operational disruption at our Augusta mill late in the third quarter, with the impact being largely offset by a portion of RWI settlements. Operational Issues have continued into October, but we are making progress getting the mill back to normal operating conditions."
OVERALL RESULTS
For the third quarter of 2026, Clearwater Paper reported net sales of $385 million, compared to $399 million in the third quarter of 2025. The company reported a net loss from continuing operations of $2 million, or $0.10 per diluted share for the quarter, compared to net loss from continuing operations of $54 million, or $3.34 per diluted share, in the prior‑year period. Adjusted EBITDA from continuing operations was $24 million for the third quarter of 2026 compared to $18 million in the third quarter of 2025. The increase in Adjusted EBITDA from continuing operations was due to the timing of our major maintenance outage at our Lewiston facility offset by reduced sales prices. The Lewiston outage occurred in the third quarter of 2025 as compared to the second quarter of 2026.
For the nine months of 2026, Clearwater Paper reported net sales of $1.1 billion compared to $1.2 billion for the nine months of 2025. The company reported a net loss from continuing operations of $36 million, or $2.23 per diluted share for the nine months of 2026, compared to a net loss from continuing operations of $56 million, or $3.47 per diluted share, in the prior‑year period. Adjusted EBITDA from continuing operations was $18 million for the nine months of 2026 compared to $87 million in the first nine months of 2025. The decrease in Adjusted EBITDA from continuing operations was due to the impact of a weather event during the first quarter of 2026 and reduced sales prices offset by higher sales volumes.
Sales volumes and prices:

•Sales volumes were 322,265 tons in the third quarter of 2026, a decrease of 1% compared to 324,198 tons in the third quarter of 2025. Sales volumes were 953,906 tons in the first nine months of 2026, an increase of 4% compared to 918,399 tons in the first nine months of 2025.
•Paperboard average net selling price decreased 4% to $1,111 per ton for the third quarter of 2026, compared to $1,160 per ton in the third quarter of 2025. Paperboard average net selling price decreased 7% to $1,096 per ton for the first nine months of 2026, compared to $1,176 per ton in the first nine months of 2025.
COMPANY OUTLOOK
“We are optimistic about a continued recovery in SBS industry conditions, even as we face cost headwinds in transportation and chemicals. RISI is forecasting improved pricing later this quarter and into next year, which should help us recover some of the cost increases that we’ve faced and put us on the path towards our cross-cycle Adjusted EBITDA margins and cash flows,” concluded Kitch.

USE OF NON-GAAP MEASURES
In this press release, the company presents certain non-GAAP financial information for the third quarter and first nine months of 2026 and 2025, including adjusted net income (loss) from continuing operations, Adjusted EBITDA from continuing operations and Net debt. Because these amounts are not in accordance with GAAP, reconciliations to net income (loss) from continuing operations and Adjusted EBITDA from continuing operations as determined in accordance with GAAP are included in the tables at the end of this press release. The company presents these non-GAAP metrics because management believes they assist investors and analysts in comparing the company's performance across reporting periods on a consistent basis by excluding items that the company does not believe are indicative of its core operating performance. In addition, the company uses Adjusted EBITDA from continuing operations: (i) as a factor in evaluating management’s performance when determining incentive compensation, (ii) to evaluate the effectiveness of the company's business strategies, and (iii) because the company's credit agreement uses metrics similar to Adjusted EBITDA from continuing operations to measure the company's compliance with certain covenants. Non-GAAP measures may differ from similarly titled measures of other companies.
FORWARD-LOOKING STATEMENTS
This press release contains certain “forward-looking” statements within the meaning of Section 27A of the Securities Act of 1933, as amended, and Section 21E of the Securities Exchange Act of 1934, as amended by the Private Securities Litigation Reform Act of 1995 as amended, including statements regarding the company’s expectations about the outlook for the next quarter, industry supply and demand conditions, pricing trends, market recovery timing, operating performance, operational execution, the company’s ability to execute its strategy amid current market conditions, as well as statements regarding the company’s progress in implementing its announced price increases; the recovery of the company’s Augusta mill and the company’s efforts to address underlying reliability issues; the continued recovery of SBS industry conditions; anticipated cost headwinds, including in transportation and chemicals; anticipated pricing trends, including third-party pricing forecasts, the company’s ability to recover cost increases; and the company’s ability to achieve its cross-cycle Adjusted EBITDA margins and cash flows.

The company’s actual results of operations may differ materially from those expressed or implied by the forward-looking statements contained in this press release. These forward-looking statements are based on management’s current expectations, estimates, assumptions and projections that are subject to change. Our actual results of operations may differ materially from those expressed or implied by the forward-looking statements contained in this presentation. Important factors that could cause or contribute to such differences include the risks and uncertainties described from time to time in the Company's public filings with the Securities and Exchange Commission, including but not limited to the following: our inability to realize the expected benefits of the Augusta, Georgia paperboard manufacturing facility acquisition, including anticipated financial results, due to integration challenges or other factors; unexpected costs, charges or expenses resulting from the sale of our consumer products division (tissue business) and the related restructuring initiatives; competitive pricing pressures for our products arising from capacity additions, demand reduction and market conditions; the loss of, changes in prices for, or reduction in, orders from significant customers; changes in customer preferences, industry consolidation and vertical integration; changes in the cost and availability of wood fiber, pulp, energy, chemicals, packaging and transportation services; cyclical industry conditions and broader U.S. and global economic conditions; manufacturing or operating disruptions; labor disruptions; reliance on a limited number of suppliers and service providers; cyber-security risks; environmental liabilities and litigation, including PFAS-related claims involving our Augusta facility; our ability to execute our growth, expansion and operational efficiency initiatives and capital projects; changes in expenses, required contributions or withdrawal costs associated with our pension plans; our ability to attract and retain qualified personnel; our ability to service our debt obligations and comply with debt covenants; changes in banking relationships or credit ratings; and changes in laws, regulations or industry standards affecting our business. Forward-looking statements contained in this presentation present management’s views only as of the date of this presentation. We undertake no obligation to publicly update forward-looking statements or to retract future revisions of management's views based on events or circumstances occurring after the date of this presentation. Non-GAAP Financial Measures This presentation includes certain financial measures that are not calculated in accordance with GAAP, including Adjusted EBITDA from continuing operations, adjusted net income and net debt. The Company’s management believes that the presentation of these financial measures provides useful information to investors because these measures are regularly used by management in assessing the Company’s performance. These financial measures should be considered in addition to results prepared in accordance with GAAP but should not be considered substitutes for or superior to GAAP results. In addition, these non-GAAP financial measures may not be comparable to similarly-titled measures utilized by other companies, since such other companies may not calculate such measure in the same manner as we do. A reconciliation of Adjusted EBITDA to the most directly comparable GAAP measure is available in the appendix of this presentation.

5 Q3’26 VS Q3’25 Adjusted EBITDA Results from Continuing Operations ($ in millions) $17.8 $25.4 $4.9 $24.4 -$18.1 -$5.6 Q3'25 Adj. EBITDA Price/Mix Volume Costs/Other SGA Q3'26 Adj. 6 Q4 Outlook and 2026 Assumptions Q4 2026 Adjusted EBITDA: $10 to 20 million 1 Lower seasonal shipments, additional impact of operational disruptions at Augusta mill in early Q4 $8 to 12 million benefit from price increases $5 to 7 million of planned major maintenance at Cypress Bend mill $5 to 6 million of seasonal energy increases and additional war-related cost, primarily in transportation FY 2026 Assumptions Revenue of ~$1.5 billion $15 to 20 million benefit from recently announced price increases Offset by ~$70 million carryover price decreases from 2025 Major maintenance costs of $27 to 29 million for Lewiston and Cypress Bend outages Productivity and restructuring actions mostly offsetting higher cost, including war-related impact of $28 to 32 million Net working capital improvement of $25 to 30 million, primarily inventory reductions Capital expenditures of $55 to 60 million; Augusta outage capital moved to 2027 1. As there is uncertainty in connection with calculating the adjustments necessary to prepare reconciliations from Adjusted EBITDA to the comparable GAAP financial measure, the Company is unable to reconcile the Adjusted EBITDA projections without unreasonable efforts. Therefore, no reconciliation is being provided at this time. These items could result in significant adjustments from the most comparable GAAP measure.
