Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As described in the attached press release, CME Group Inc. (“CME Group” or the “Company”) announced new senior leadership appointments in its finance and legal divisions.

Jack Tobin, 63, will be appointed to the role of Managing Director, Deputy Chief Financial Officer as of November 2, 2026. Mr. Tobin has served as Managing Director and Chief Accounting Officer since 2015. He most recently served as Managing Director, Corporate Finance since 2007. Prior to our merger with CBOT Holdings, Mr. Tobin served as the Director, Corporate Finance for CBOT Holdings and CBOT from 2002 to 2007. Prior to joining CBOT, Mr. Tobin served as a principal consultant with PricewaterhouseCoopers from 1997 to 2002. Mr. Tobin is a registered certified public accountant.

Mr. Tobin will assume the role of Chief Financial Officer in March 2027, effective with Lynne Fitzpatrick’s transition to the role of Chief Executive Officer, as detailed in the Company’s Current Report on Form 8-K filed on June 17, 2026. As the Senior Managing Director, Chief Financial Officer, Mr. Tobin will be a member of the Company’s Management Team.

Matthew Render, 47, will succeed Mr. Tobin as the Company’s Managing Director, Chief Accounting Officer effective as of November 2, 2026. Mr. Render joined CME Group as the Managing Director, Deputy Chief Accounting Officer in August 2026. Prior to joining CME Group, Mr. Render was the Global Head of Financial Reporting, Accounting Policy & Finance Transformation at Citadel and Citadel Securities since 2018. Prior to that, Mr. Render was an assurance senior manager with Ernst & Young LLP from 2002 to 2012. Mr. Render is a registered certified public accountant. Mr. Render’s appointment as the Chief Accounting Officer was not pursuant to any arrangement or understanding between him and any other person. There are also no family relationships between Mr. Render and any director or executive officer of the Company, and he has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

Mr. Tobin and Mr. Render will participate in the Company’s compensation program on terms available to similarly situated executive officers of the Company.


As disclosed in the Company’s Current Report on Form 8-K filed on September 11, 2025, Mr. Tobin previously communicated his plans to retire from the organization effective as of October 30, 2026. In light of the aforementioned leadership changes, Mr. Tobin will continue his tenure with the Company.

CHICAGO, September 9, 2026 – CME Group, the world’s leading derivatives marketplace, today announced senior leadership appointments in its finance and legal divisions.

Jack Tobin, who has served as CME Group Chief Accounting Officer since 2015, will be promoted to Chief Financial Officer and will join the company’s management team, effective March 2027, when the company’s current President & CFO Lynne Fitzpatrick becomes CEO as previously announced. To ensure a smooth transition, Tobin will become Deputy Chief Financial Officer in November 2026. Matthew Render will succeed Tobin as Chief Accounting Officer. Tobin will continue to report to Fitzpatrick, and Render will continue to report to Tobin.

In addition, John Marchese has been promoted to General Counsel, joining the CME Group management team and reporting to CME Group Chairman and Chief Executive Officer Terry Duffy. Marchese has been Managing Director & Associate General Counsel, Litigation & Information Technology since 2024. Later this month, he will succeed Jonathan Marcus, who is stepping down after serving as General Counsel since 2022.

Tobin has more than 35 years of financial experience, including overseeing accounting, corporate development and finance functions at CME Group since he joined the company in 2002. He previously worked as a principal consultant with PricewaterhouseCoopers and earned bachelor’s and master’s degrees from DePaul University.

Marchese joined CME Group in 2011 to lead the company’s litigation function after holding a number of leadership positions at Arthur Andersen LLP and Latham & Watkins. He earned a bachelor’s degree from Georgetown University and a J.D. from the University of Chicago.

Render joined CME Group as Deputy Chief Accounting Officer in August 2026. He previously held finance roles at Citadel, BP and Ernst & Young. He earned a bachelor’s degree from Northern Illinois University, a master’s degree from the University of Notre Dame and an MBA from the University of Chicago Booth School of Business.
