Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Century Casinos, Inc. received a Nasdaq deficiency notice after its common stock’s Market Value of Listed Securities (MVLS) remained below the $35 million continued-listing minimum for 30 consecutive business days. The notice has no immediate effect on the company’s Nasdaq Capital Market listing.

Century Casinos has until April 19, 2027, to regain compliance by having MVLS close at $35 million or more for a minimum of 10 consecutive business days; Nasdaq staff may require a longer period. Alternatively, the company can meet the standards of at least $2.5 million in stockholders’ equity or $500,000 in net income from continuing operations. If it does not regain compliance by the deadline, Staff will provide written notification that its shares are subject to delisting. The company may then appeal to a hearings panel and says there can be no assurance of success.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing Securities
The company received a delisting notice, failed to satisfy a continued-listing rule or standard, or transferred its listing.

Consecutive business days below MVLS minimum 30 consecutive business days Period preceding the deficiency notice
Compliance period 180 calendar days Period to regain Nasdaq compliance
Compliance date April 19, 2027 Deadline to regain compliance
MVLS compliance period 10 consecutive business days Minimum period at or above $35 million

Net income from continuing operations alternative $500,000 Alternative continued-listing requirement
Market Value of Listed Securities regulatory
"minimum Market Value of Listed Securities ("MVLS") of $35 million"
Market value of listed securities is the market value of the shares a company has listed on an exchange, calculated as the closing bid price multiplied by the number of listed shares. Exchanges use it as a continued-listing standard, so a company that stays under the required minimum receives a deficiency notice and is given a set period to recover before facing delisting.
continued listing requirements regulatory
"required by the continued listing requirements of Nasdaq Listing Rule 5550(b)(2)"
Rules a stock exchange sets that a publicly traded company must keep meeting to stay listed and tradable on that exchange, such as minimum share price, market value, timely financial reports, and basic governance practices. Like a club’s membership rules, they matter because falling short can lead to warnings, penalties or removal from the exchange, which can cut liquidity, hurt share value and increase the risk for investors.
Compliance Date regulatory
"until April 19, 2027 (the “Compliance Date”)"
The compliance date is the specific day by which a company must meet a legal, regulatory, contractual or stock-exchange requirement. Think of it like a deadline to pass an inspection or satisfy a contract term: if the company meets the deadline, normal operations continue; if it misses it, investors may face fines, changed contract terms, delisting, or other financial consequences. Investors watch these dates because they can trigger material changes in risk, cash flow, or share liquidity.
stockholders' equity financial
"maintaining stockholders' equity of at least $2.5 million"
Stockholders' equity is the portion of a company's assets that belongs to its owners after all debts and obligations are paid; think of it as the value left for shareholders if the company sold everything and paid off what it owes. Investors watch it because it shows the company's net worth, indicates how much of growth is funded by owners versus debt, and helps assess financial health and the potential for future dividends or stock value increases — like the equity in a house after the mortgage is settled.
net income from continuing operations financial
"net income from continuing operations of $500,000"
Net income from continuing operations is the profit a company earns from its ongoing, day-to-day business after paying costs, interest and taxes, excluding results from businesses it has sold or closed and one-time gains or losses. Investors care because it shows the company's recurring earning power—like comparing a regular paycheck to a one-off bonus—and gives a clearer picture of sustainable profits used to value the business and judge management performance.

Item 3.01Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 19, 2026, Century Casinos, Inc. (the “Company”) received a deficiency notice (the “Notice”) from the Nasdaq Listing Qualifications staff (the “Staff”) of the Nasdaq Stock Market LLC notifying the Company that for the prior 30 consecutive business days, the Company’s common stock did not maintain the minimum Market Value of Listed Securities (“MVLS”) of $35 million required by the continued listing requirements of Nasdaq Listing Rule 5550(b)(2). The Notice has no immediate effect on the listing of the Company’s common stock on the Nasdaq Capital Market. In accordance with Nasdaq Listing Rule 5810(c)(3)(C), the Company has 180 calendar days, or until April 19, 2027 (the “Compliance Date”), to regain compliance with the minimum MVLS requirement by having the Company’s MVLS close at $35 million or more for a minimum of 10 consecutive business days before the Compliance Date (subject to the Staff’s discretion to require a longer compliance period under Nasdaq Listing Rule 5810(c)(3)(H)). The Company may also regain compliance by meeting the alternative continued listing requirements under Nasdaq Listing Rule 5550(b) by maintaining stockholders' equity of at least $2.5 million under Nasdaq Listing Rule 5550(b)(1) or net income from continuing operations of $500,000 under Nasdaq Listing Rule 5550(b)(3). If the Company does not regain compliance by the Compliance Date, the Staff will provide written notification that the Company’s common stock is subject to delisting.

With respect to the deficiency, if the Staff notifies the Company that its common stock is subject to delisting, the Company may appeal the delisting determination to a hearings panel pursuant to the procedures set forth in the applicable Nasdaq listing rules. However, there can be no assurance that, if the Company receives a delisting notice and appeals the delisting determination by Nasdaq to the panel, such appeal would be successful.

The Company intends to actively monitor the MVLS of its common stock between now and the Compliance Date and, as appropriate, plans to evaluate available options to resolve the deficiency and regain compliance with the MVLS requirements.
