Rhea-AI Filing Summary

Comstock Resources, Inc. reported third-quarter 2026 results and entered a definitive agreement to sell specified Haynesville and Pinnacle interests to the State Oil Company of the Republic of Azerbaijan (SOCAR) for $1.65 billion cash, subject to customary purchase-price adjustments.

Production was 122.4 Bcfe, up 9% from a year earlier and 8% from the second quarter. Natural gas and oil sales including realized hedging gains were $359.343 million, and cash flows from operating activities were $180.209 million. Net income available to Comstock was $22.270 million, or $0.08 per diluted share, versus $111.128 million, or $0.40, a year earlier. That net income included a pre-tax $35.067 million unrealized hedging gain; adjusted net income available was $5.876 million, or $0.02 per diluted share.

The agreement covers non-operated working interests in 20% of Comstock's interest in Legacy Haynesville upstream assets, 15% of its interest in Western Haynesville upstream assets, and 15% of its interest in Pinnacle Gas Services LLC. Closing is expected by year-end, subject to customary conditions, including required governmental approvals. SOCAR's Western Haynesville interest will reduce to 7.5% after five years and after SOCAR achieves a 15% return on investment in those assets.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

The facility’s extended maturity is currently in effect; the later extension depends on the SOCAR sale closing and debt retirement.

In the November 4 amendment, Comstock extended its bank credit facility’s maturity to November 15, 2028; a further extension to November 15, 2031 depends on the SOCAR sale closing and debt being retired with proceeds received from SOCAR.

After the sale closes, aggregate facility commitments are to remain $1.5 billion, while borrowings will be subject to a borrowing base initially set at $1.6 billion.

At September 30, 2026, the balance sheet reported long-term debt of $3,356,968 thousand and cash and equivalents of $18,633 thousand.

Adjusted EBITDAX financial
"Adjusted EBITDAX, which represents Comstock's results from operations before interest"
Adjusted EBITDAX is a measure of a company’s operating profit that adds back interest, taxes, depreciation, amortization and specific recurring costs (often exploration or similar project expenses), then removes one‑time or unusual items to show recurring cash profitability. Investors use it like a clean yardstick—ignoring financing choices, accounting rules and one‑off events—to compare core performance across periods or peers and assess a business’s ability to generate cash from operations.
working capital financial
"Operating cash flow before changes in working capital"
Working capital is the money a business has available to cover its daily expenses, like paying bills and buying supplies. It’s like the cash in your wallet that helps you handle everyday costs; having enough ensures the business can operate smoothly without running into money shortages.
unrealized gain financial
"pre-tax $35.1 million unrealized gain on hedging contracts"
An unrealized gain is the increase in value of an investment that you still hold and have not sold, so the profit exists on paper but hasn’t been converted into cash. Like a balloon that has inflated but hasn’t been popped, it raises your reported net worth and signals how well an investment is performing, yet it can fall before you sell; investors watch unrealized gains to decide when to lock in profits, manage risk, and plan for taxes.
non-operated working interests technical
"sell non-operated working interests in 20% of Comstock's interest"
A non-operated working interest is an ownership stake in an oil or gas project that entitles the holder to a share of production and obligates them to pay a proportionate share of drilling and operating costs, but does not give them the right to run the day-to-day operations. For investors, this means they participate in revenue and cost exposure while relying on the project operator’s decisions and execution—like owning a room in a rental property someone else manages, where income and repair bills affect you but you have limited control.
borrowing base financial
"borrowings will be subject to a borrowing base initially set at $1.6 billion"
A borrowing base is the amount a lender will allow a company to borrow based on the value of assets the company offers as security, typically things like accounts receivable and inventory. It matters to investors because it sets a practical ceiling on short-term financing and influences a company’s liquidity and risk: if the borrowing base falls, the company may lose access to cash or be forced to sell assets, which can affect operations and share value.
Production 122.4 Bcfe Up 9% from third quarter 2025 and 8% from second quarter 2026.
Natural gas and oil sales including hedging $359.343 million From $334.968 million in third quarter 2025.

(1)
Adjusted net income available to the Company is presented because of its acceptance by investors and by Comstock management as an indicator of the Company's profitability excluding non-cash unrealized gains and losses on derivative financial instruments, exploration expense and other unusual items.
(2)
Adjusted net income available to the Company per share is calculated to include the dilutive effects of unvested restricted stock pursuant to the two-class method and performance stock units pursuant to the treasury stock method.
(3)
Adjusted EBITDAX is presented in the earnings release because management believes that adjusted EBITDAX, which represents Comstock's results from operations before interest, income taxes, and certain non-cash items, including depreciation, depletion and amortization, unrealized gains and losses on derivative financial instruments and exploration expense, is a common alternative measure of operating performance used by certain investors and financial analysts.
(4)
Operating cash flow before changes in working capital is presented in the earnings release because management believes it to be useful to investors as a measure of operating cash generation of the Company based on the revenues and expenses that were related to the period versus the period when the revenues were received or expenses paid while enhancing comparability across periods. Operating cash flow before changes in working capital is not a measure of Comstock's liquidity or actual cash generation.
