On December 23, 2025, Claritev Corporation (the "Company") received notice from Dale White, the Company's former Chief Executive Officer and Executive Chair, and a current director on the Company's board of directors (the "Board"), that Mr. White will terminate his service as a strategic advisor to the Company, effective December 31, 2025. Mr. White has served as a strategic advisor to the Company since stepping down from his role as the Company's Executive Chair on December 31, 2024. Mr. White will continue to serve as a director on the Company's Board, and the Company has waived its right to 30 days' written notice of termination of his strategic advisor role per the terms of Mr. White's retirement transition letter. No additional compensation related to Mr. White's service as a strategic advisor to the Company is due to Mr. White.
