Rhea-AI Filing Summary

Cavitation Technologies, Inc. (CVAT) is the subject of BrightFlixx Finance (Luxembourg) S.A.’s cash offer to purchase all outstanding CVAT shares. The per-share Final Offer Price is calculated using a net aggregate price of $35,000,000, less CVAT’s liabilities outstanding at the close of the December 24, 2026 Record Date, divided by the CVAT shares outstanding at that date. After announcing the price, the purchaser will extend the offer as needed to give shareholders at least 30 business days to review it; the offer initially expires January 26, 2027.

The concurrent Alchemy Beverages Inc. offer covers all outstanding ABI shares and uses a net aggregate price of $7,000,000, less Alchemy’s liabilities at the close of the same Record Date, divided by ABI shares outstanding then. Each offer, and the purchaser’s obligation to buy tendered shares under either offer, is conditioned on consummation of the other offer.

Filing Explained

If tendered and purchased, CVAT’s approximately 13.3% ABI stake would pass to BrightFlixx.

Although the cover labels this a final amendment reporting results, the terms still place both offers before final pricing and expiration and state no completed purchase result.

CVAT holds approximately 13.3% of ABI, whose outstanding shares the offer seeks to buy; that stake would transfer to BrightFlixx only if tendered and purchased.

Record Date financial
"The Record Date for determining the Final Offer Price"
The record date is the specific day when a company determines which shareholders are eligible to receive a dividend or participate in an upcoming vote. It’s like a cutoff date; if you own the stock on that day, you get the benefits or voting rights. This date matters because it decides who qualifies for certain company benefits.
Letter of Transmittal regulatory
"the CVAT Letter of Transmittal"
A letter of transmittal is a written form investors use when sending physical stock certificates or electronic ownership documents to a company or its agent to surrender shares, tender them in an offer, or claim payment or replacement securities. It acts like a packing slip that lists what is enclosed, gives instructions on how the transfer should be handled, and provides proof of the transaction—important for ensuring investors receive the correct payment or new securities without delay or dispute.

INTRODUCTION

The Tender Offer Statements on this Schedule TO-T consist of two concurrent cash tender offers for the outstanding shares of common stock of two affiliated companies by the same offeror/filing person. This Schedule TO-T (which, together with any amendments and supplements thereto, collectively constitute this “Schedule TO-T”) is filed by BrightFlixx Finance (Luxembourg) S.A., a public limited company (société anonyme) organized and existing under the laws of the Grand Duchy of Luxembourg (“Purchaser”). The two Tender Offer Statements on this Schedule TO-T consist of the following:

(a)   Under the first Tender Offer Statement, Purchaser is offering to purchase, for cash, all of the outstanding shares of common stock (the “CVAT Shares” or “Shares”) of Cavitation Technologies, Inc., a Nevada corporation (“Company” or “CVAT”). Company’s common stock is registered pursuant to Section 12(g) of the Securities Exchange Act of 1934 (“Exchange Act”) and Company is subject to continuous reporting under the Exchange Act. The offer to purchase all of the outstanding CVAT Shares is set forth in the CVAT Offer to Purchase dated October 20, 2026 attached hereto as Exhibit (a)(1)(A) (the “CVAT Offer to Purchase”) and the CVAT Letter of Transmittal attached hereto as Exhibit (a)(1)(B) (the “CVAT Letter of Transmittal”) (which, together with any amendments or supplements thereto, respectively, constitute the “CVAT Offer” or “Offer”).

(b)    Under the second Tender Offer Statement, Purchaser is offering to purchase, for cash, all of the outstanding shares of common stock (the “ABI Shares” or “Shares”) of Alchemy Beverages Inc., a Delaware corporation that is privately held (“Alchemy” or “ABI”). Company holds approximately 13.3% of the outstanding ABI Shares. The ABI Shares are not registered under the Exchange Act and Alchemy is not a reporting company under the Exchange Act. The offer to purchase all of the outstanding ABI Shares is set forth in the ABI Offer to Purchase dated October 20, 2026 attached hereto as Exhibit (a)(1)(C) (the “ABI Offer to Purchase”) and the ABI Letter of Transmittal attached hereto as Exhibit (a)(1)(D) (the “ABI Letter of Transmittal) (which, together with any amendments or supplements thereto, respectively, constitute the “ABI Offer” or “Offer”).

The two Tender Offer Statements are being included in this Schedule TO-T because (1) the two subject companies are “affiliated” within the meaning of the Exchange Act and the regulations promulgated thereunder, and (2) the consummation of each tender offer, and the obligation of the Purchaser to purchase tendered shares pursuant to each offer, is conditioned upon the consummation of the other offer.
