Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

  

On May 29, 2026, DraftKings Inc. (the “Company”) announced that, following a review of the functions and responsibilities of the Company’s executive officers and senior leadership team, Alan Ellingson, the Company’s Chief Financial Officer and principal financial officer, will assume the role of the Company’s principal accounting officer (“PAO”), effective as of May 29, 2026. Mr. Ellingson will not receive any adjustment to his compensation or any additional compensation in connection with performing the functions of the Company’s PAO. Erik Bradbury, the Company’s previous PAO, will remain in his position as the Company’s Chief Accounting Officer.

 

Mr. Ellingson’s biographical information is disclosed in the Company’s Proxy Statement for its 2026 Annual Meeting of Stockholders. There are no arrangements or understandings between Mr. Ellingson and any other persons pursuant to which he was selected as an officer, he has no family relationships with any of the Company’s directors or executive officers, and he has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
