Rhea-AI Filing Summary

Driven Brands Holdings Inc. obtained a waiver under its securitization Base Indenture that extends several financial reporting deadlines. The waiver moves the due date to deliver the company’s audited 2025 Form 10-K to stakeholders to June 10, 2026.

The waiver also extends deadlines to provide first quarter 2026 financial statements for the company and related securitization entities, and to furnish 2025 annual accountants’ reports, using 45-day and 30-day windows tied to delivery of the 2025 annual financials. Midland Loan Services agrees not to trigger potential Rapid Amortization or Manager Termination Events solely due to these extensions, and charges a $10,000 consent fee.

Insights

Waiver gives Driven Brands more time to file 2025 and Q1 2026 reports without triggering securitization remedies.

Driven Brands and its Canadian affiliates secured a waiver under their Second Amended and Restated Base Indenture to extend delivery of 2025 audited financials and Q1 2026 reports for the company and securitization entities. The key new outside date for the 2025 Form 10-K is June 10, 2026.

The waiver clarifies that Midland Loan Services, as Servicer and Control Party, will not treat the extended timelines as a breach that could trigger a Rapid Amortization Event or Manager Termination Event, provided reports arrive by the new deadlines. This keeps the securitization structure operating under agreed terms despite reporting delays.

There is a $10,000 consent fee for this relief. The overall impact depends on timely delivery of the 2025 financials and associated Q1 2026 reports under the revised schedule described in the waiver and related agreements.

FAQ

What did Driven Brands (DRVN) announce in this 8-K filing?

Driven Brands disclosed a waiver under its securitization Base Indenture that extends deadlines to deliver 2025 audited financial statements, first quarter 2026 financial reports, and related accountants’ reports, while preventing certain covenant-related remedies if the new reporting dates are met.

When must Driven Brands now deliver its 2025 Form 10-K under the waiver?

The company currently expects to deliver its 2025 Form 10-K on or before June 10, 2026. This date also serves as the extended deadline in the waiver for providing the 2025 audited financial statements to the trustee, servicer, back-up manager, and rating agencies.

How are Driven Brands’ Q1 2026 financial reporting deadlines affected?

The waiver extends Q1 2026 reporting for Driven Brands and related securitization entities to dates that are 45 days after the applicable 2025 annual financial statements are delivered. This links quarterly deadlines directly to completion and delivery of the 2025 audited financials.

What happens to Rapid Amortization or Manager Termination Events under this waiver?

Midland Loan Services agrees it will not declare any Rapid Amortization Event or Manager Termination Event solely due to the extended financial reporting dates, as long as all required reports are furnished in line with the revised deadlines set out in the transaction documents.

Does Driven Brands owe a fee in connection with this financial reporting waiver?

Yes. Midland Loan Services, as Servicer and Control Party, states that its consent fee for granting the Financial Reporting Date Extension is $10,000. The fee is to be invoiced separately according to Midland’s communication within the waiver letter.

Are there any forward-looking statements in Driven Brands’ disclosure?

The disclosure includes forward-looking statements about expected timing of the 2025 Form 10-K, the first quarter 2026 Form 10-Q, and Co-Issuer reports. The company notes these statements involve risks, including potential material delays in financial reporting relative to the discussed timetable.
