Item 8.01 Other Events.
On August 21, 2026, Edible Garden AG Incorporated (“Edible Garden”) entered into a non-binding memorandum of understanding (“MOU”) with Square Roots Urban Growers, Inc. (“Square Roots”) regarding a proposed collaboration. The goal of the partnership is to co-develop premium clean-label functional ready-to-drink (“RTD”) beverages using nutrient-dense crops optimized for naturally occurring bioactive compounds that support cognitive health, metabolic wellness, healthy aging, inflammation management GLP-1 support and performance nutrition.
More specifically, Edible Garden and Square Roots agree to engage in joint product development for one or more RTD beverage products, with commercial manufacturing to occur at the Edible Garden RTD beverage facility. The ultimate goal of this partnership is to establish a true “farm-to-formula” product where Square Roots and/or Edible Garden crops are used in the formulation of an RTD, clean-label beverage.
The program is expected to proceed in three phases, with Square Roots serving as lead partner for Phase 1 (Partner Discovery) and Phase 2 (Crop Selection and Bioactive Optimization) and Edible Garden serving as lead partner for Phase 3 (Formulation). Square Roots is expected to cultivate specialty, high nutrient ingredients, direct market research and outreach to key stakeholders, and coordinate third-party laboratory testing. The resulting laboratory tested nutrient profiles can be used to support formal marketing claims. Edible Garden is expected to supply bulk greens where appropriate, lead overall drink formulation, and produce the final product. To this end, Edible Garden plans to engage a flavor formulator, to direct beverage formulation and sensory evaluation throughout the project. Square Roots is expected to provide support and feedback through the formulation process.

The Company is also expanding its Prairie Hills facility in Webster City, Iowa, into a dedicated ready-to-drink (RTD) clean nutrition manufacturing hub, supporting its Farm-to-Formula® strategy and its transformation into higher-margin, shelf-stable nutrition categories.
