Results of Ordinary General Meeting of Shareholders
of Earlyworks Co., Ltd.
The seventh Ordinary General Meeting (the “Meeting”)
of shareholders of Earlyworks Co., Ltd. (the “Company”) was held on July 24, 2025 at 1:00 p.m., Japan Standard Time (July
24, 2025 at 12:00 a.m., U.S. Eastern Time) in Tokyo, Japan. At the Meeting, the shareholders of the Company approved and adopted both
resolutions as originally proposed as follows: (1) the approval of financial statements for the seventh fiscal year (from May 1,
2024 to April 30, 2025) (“Resolution One”), and (2) the election of four directors (“Resolution Two”).
A total of 9,727,270 votes, representing approximately
96.0% of the votes exercisable as of April 30, 2025, the record date, were present in person or by proxy at the Meeting. The results of
the votes were as follows:
