Rhea-AI Filing Summary

Eagle Materials Inc. reported second-quarter fiscal 2027 revenue of $652.7 million for the quarter ended September 30, 2026, compared with $638.9 million a year earlier. Net earnings were $111.5 million, versus $137.4 million, and diluted EPS was $3.63 versus $4.23.

Heavy Materials revenue rose 2% to $477.8 million, while operating earnings fell 12% to $113.0 million. Light Materials revenue rose 2% to $216.4 million, while operating earnings fell 13% to $68.3 million. Eagle attributed the Heavy Materials decline to higher costs, including freight; Light Materials earnings were affected mainly by lower Gypsum Wallboard net prices and higher freight. Corporate general and administrative expenses increased 26%, partly reflecting health insurance and enterprise resource planning system implementation costs, which are expected to continue in future quarters.

During the first half of fiscal 2027, Eagle repurchased 711,381 shares for approximately $146.0 million. At quarter-end, it reported $1.5 billion in net debt and a 2.1x net-debt-to-Adjusted-EBITDA ratio, compared with 1.9x as of March 31, 2026.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Adjusted EBITDA financial
"Adjusted EBITDA is also a non-GAAP financial measure"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Net Debt to Adjusted EBITDA financial
"Net Debt to Adjusted EBITDA"
Net debt to adjusted EBITDA is a leverage ratio that compares a company’s net debt (total interest-bearing debt minus cash) to its recurring operating earnings after removing one-off items. Think of it like how many years of steady take-home pay the business would need to pay off its outstanding debt; investors use it to gauge debt burden, financial risk and relative creditworthiness, with lower ratios generally indicating a safer balance sheet.
equity method of accounting financial
"We use the equity method of accounting for our 50% interest"
An equity method of accounting is the way a company reports its financial interest in another business when it has significant influence but not full control, typically owning between about 20% and 50% of the voting stock. Instead of listing the investment at purchase cost or consolidating every line item, the investor records its proportional share of the other company’s profits or losses and adjusts the investment value for dividends or impairments, so investors see the economic impact of that stake. This matters because it changes reported earnings and asset values in a way that reflects ongoing performance—similar to showing your share of a small business’s monthly profit on your own books rather than just the amount you originally paid for your share—and helps gauge how much influence that stake has on the investor’s financial health.

EAGLE MATERIALS REPORTS SECOND QUARTER RESULTS

DALLAS, TX (November 4, 2026) Eagle Materials Inc. (NYSE: EXP) today reported financial results for the second quarter of fiscal 2027 ended September 30, 2026. Notable items for the quarter are highlighted below (unless otherwise noted, all comparisons are with the prior year’s fiscal second quarter):

Second Quarter Fiscal 2027 Highlights

  •

Record Revenue of $652.7 million

  •

Net Earnings of $111.5 million

  •

Net Earnings per diluted share of $3.63

  •

Adjusted EBITDA of $202.7 million

  •

Adjusted EBITDA is a non-GAAP financial measure calculated by excluding non-routine items and certain non-cash expenses in the manner described in Attachment 6

  •

Repurchased 304,881 shares of Eagle’s common stock for approximately $62 million

Commenting on the second quarter results, Michael Haack, President and Chief Executive Officer, said, “Eagle’s businesses continued to perform well during the quarter despite a challenging operating environment characterized by elevated diesel fuel prices and higher interest rates driven by ongoing macroeconomic and geopolitical uncertainty. While spending on public infrastructure and large private non-residential construction projects continued to support demand for our Heavy Materials products, elevated interest rates placed additional pressure on an already challenging residential construction market. At the same time, higher diesel fuel prices increased transportation costs across all our business lines. Against this backdrop, our teams remained focused on employee safety, operational execution, serving our customers, and disciplined capital allocation.

“During the first half of our fiscal year, we continued to invest in our businesses while returning capital to shareholders. We continued to progress on the modernizations of our Mountain Cement and Duke, Oklahoma Gypsum Wallboard facilities, investments that should deliver meaningful financial and strategic benefits, including strengthening our low-cost operating position, enhancing each plant’s reliability and efficiency, and increasing our production capacity. We also repurchased 711,381 shares of our common stock for approximately $146.0 million. We ended the quarter with debt of $1.8 billion, net debt of $1.5 billion, and a net leverage ratio (net debt to Adjusted EBITDA) of 2.1x, providing substantial financial flexibility to support our disciplined capital allocation strategy.” (Net debt is a non-GAAP financial measure calculated by subtracting cash and cash equivalents from debt, as described in Attachment 6).

Mr. Haack concluded, “While higher interest rates, broader economic uncertainty, and evolving geopolitical conditions may continue to affect construction activity in the near term, we remain focused on the factors within our control. Our businesses are operating well, and our favorable market positions, low-cost operations, financial flexibility, and continued disciplined investments in our people and operations position Eagle to navigate changing market conditions and create value for shareholders over the long term.”

Segment Financial Results

Heavy Materials: Cement, Concrete and Aggregates

Revenue in the Heavy Materials sector, which includes Cement, Concrete and Aggregates, Joint Venture and intersegment Cement revenue, increased 2% to $477.8 million. Heavy Materials operating earnings declined 12% to $113.0 million, reflecting higher operating costs in both Cement and Concrete and Aggregates.

Cement revenue for the quarter, including Joint Venture and intersegment revenue, increased 1% to $390.5 million, while operating earnings were down 9% to $108.8 million. The decline in earnings was due to higher fixed costs, including labor and depreciation, increased purchased raw material costs, and higher freight expenses driven primarily by rising diesel fuel prices. The average gross Cement sales price increased 1%, while the average net sales price declined slightly to $154.58 per ton as a result of higher freight costs. Cement sales volume increased slightly to a record 2.2 million tons.

Concrete and Aggregates revenue was up 7% to $87.2 million, while operating earnings declined 47% to $4.2 million, reflecting higher maintenance, diesel, and production costs. Aggregates sales volume was down 6% to 1.9 million tons.

Light Materials: Gypsum Wallboard and Paperboard

Revenue in the Light Materials sector, which includes Gypsum Wallboard and Recycled Paperboard, increased 2% to $216.4 million, primarily because of higher sales volume in both business segments. Light Materials operating earnings declined 13% to $68.3 million, primarily reflecting lower Gypsum Wallboard net sales prices and higher freight costs.

Gypsum Wallboard sales volume was up 7% to 696 million square feet (MMSF). The quarterly increase reflects both a favorable prior-year comparison and steady end-market demand, despite continued softness in residential housing activity. Our average gross Wallboard price (before the effect of higher freight costs) was down 6%, while our average net sales price decreased 10%, reflecting higher freight costs, primarily driven by rising diesel fuel prices.

Recycled Paperboard sales volume was up 5% to 86,000 tons. The average Recycled Paperboard net sales price increased 4% to $622.90 per ton, consistent with the pricing provisions in our long-term sales agreements that account for changes in input costs.

2

Corporate General and Administrative Expenses

Corporate General and Administrative Expenses during the second quarter increased 26% primarily because of increased health insurance costs and costs associated with implementing our new enterprise resource planning system, which is expected to continue in future quarters as the system is implemented across the remaining businesses.

Details of Financial Results

We conduct one of our cement plant operations through a 50/50 joint venture, Texas Lehigh Cement Company LP (the Joint Venture). We use the equity method of accounting for our 50% interest in the Joint Venture. For segment reporting purposes only, we proportionately consolidate our 50% share of the Joint Venture’s revenue and operating earnings, which is consistent with the way management organizes the segments within the Company for making operating decisions and assessing performance.

In addition, for segment reporting purposes, we report intersegment revenue as a part of a segment’s total revenue. Intersegment sales are eliminated on the consolidated income statement. Refer to Attachment 3 for a reconciliation of these amounts.

Reconciliation of Non-GAAP Financial Measures

(unaudited)

(dollars in thousands, other than earnings per share amounts, and number of shares in thousands)

EBITDA and Adjusted EBITDA

We present Earnings before Interest, Taxes, Depreciation and Amortization (EBITDA) and Adjusted EBITDA to provide additional measures of operating performance and allow for more consistent comparison of operating performance from period to period. EBITDA is a non-GAAP financial measure that provides supplemental information regarding the operating performance of our business without regard to financing methods, capital structures or historical cost basis. Adjusted EBITDA is also a non-GAAP financial measure that further excludes the impact from Non-routine Items and stock-based compensation, in each case if applicable during the relevant fiscal quarter or fiscal year. Management uses EBITDA and Adjusted EBITDA as alternative bases for comparing the operating performance of Eagle from period to period and for purposes of its budgeting and planning processes. Adjusted EBITDA may not be comparable to similarly titled measures of other companies because other companies may not calculate Adjusted EBITDA in the same manner. Neither EBITDA nor Adjusted EBITDA should be considered in isolation or as an alternative to net income, cash flow from operations or any other measure of financial performance or liquidity in accordance with GAAP. The following shows the calculation of EBITDA and Adjusted EBITDA and reconciles them to net earnings in accordance with GAAP for the quarters ended September 30, 2026 and 2025, and the trailing twelve months ended September 30, 2026, and March 31, 2026:

Reconciliation of Net Debt to Adjusted EBITDA

GAAP does not define “Net Debt” and it should not be considered as an alternative to debt as defined by GAAP. We define Net Debt as total debt minus cash and cash equivalents to indicate the amount of total debt that would remain if the Company applied the cash and cash equivalents held by it to the payment of outstanding debt. The Company also uses “Net Debt to Adjusted EBITDA,” which it defines as Net Debt divided by Adjusted EBITDA for the trailing twelve months, as an alternative metric to assist it in understanding its leverage position. We present this metric for the convenience of the investment community and rating agencies who use such metrics in their analysis, and for investors who need to understand the metrics we use to assess performance and monitor our cash and liquidity positions.
