restricted stock units financial
"award of 2,231 restricted stock units"
Restricted stock units are a type of company reward where employees are promised shares of stock, but they only fully own these shares after meeting certain conditions, like staying with the company for a set time. They matter because they can become valuable assets and are often used to motivate employees to help the company succeed.
Directors Deferred Compensation Plan financial
"eligible to participate in the Directors Deferred Compensation Plan"
A directors deferred compensation plan lets a board member postpone receiving part or all of their cash fees or stock-based pay until a future date, often retirement, allowing taxes to be delayed and payouts to be structured over time. Investors care because these plans change a company’s future cash obligations and reveal how the board’s pay is aligned with long-term performance—like choosing to take a paycheck later to tie personal reward to the company’s future results.
take-private acquisition financial
"co-led the approximately $11 billion take-private acquisition of Switch, Inc."
A take-private acquisition is when one party buys all the outstanding shares of a publicly traded company so it becomes privately owned and its stock is removed from public exchanges. For investors, it usually means shareholders receive cash or a buyout price (often at a premium) and lose ongoing ability to trade the shares; for remaining stakeholders it can change transparency, reporting and control—like a neighborhood business being bought and run behind closed doors.
capital formation financial
"private equity, investment banking, capital formation and M&A"
Capital formation is the process by which businesses and economies gather money needed to grow and operate, for example through reinvesting profits, selling shares, or taking on loans. Think of it as filling a fuel tank that powers expansion, product development, or new projects. For investors, how effectively and cheaply capital is raised affects a company’s growth prospects, profit potential and the risk or dilution of existing holdings.

“Peter understands how infrastructure, technology, risk and capital come together,” said Jason Few, president and CEO of FuelCell Energy. That perspective is increasingly important as data center customers seek to address time-to-power, reliability and infrastructure constraints.”

“Peter brings investment discipline and a practical understanding of what makes infrastructure projects financeable and executable,” said Herb England, chair of the board of directors. “His perspective will be valuable as FuelCell Energy evaluates opportunities and deploys capital. I am pleased to welcome him to our board.”

“Board refreshment is about ensuring our skills evolve with the company’s strategy,” said Natica von Althann, chair of the nominating, governance and sustainability committee. She added, “Peter’s deep data center, infrastructure and capital markets experience strengthens our board as AI drives one of the largest capital deployment cycles of our generation.”
