On July 3, 2025,
First Interstate BancSystem, Inc. (the “Company”) delivered a redemption notice (the “Redemption Notice”), through
the Depository Trust Company, to each holder of the Company’s outstanding 5.25% Fixed-to-Floating Rate Subordinated Notes due 2030
originally issued on May 15, 2020 in the aggregate principal amount of $100,000,000 (the “Notes”). Pursuant to the terms of
the Notes, on August 15, 2025 (the “Redemption Date”), the Company will redeem the Notes in full at a redemption price of
100% of the principal amount plus accrued and unpaid interest to, but excluding, the Redemption Date (the “Redemption Price”).
Payment of the Redemption Price will be made only upon surrender of the Notes through the applicable procedures of the Depository Trust
Company. Interest on the Notes will cease to accrue on and after the Redemption Date, unless the Company defaults in the payment of the
Redemption Price, and no Notes will remain outstanding following the redemption.
