Insights

Fluence expanded its equity plan and confirmed broad stockholder support for governance items.

The annual meeting shows strong backing for Fluence Energy’s board and pay practices, with each of the twelve director nominees receiving large majorities of votes cast. Stockholders also supported the non-binding advisory vote on named executive officer compensation.

Approval of the amended 2021 Incentive Award Plan adds 6,700,000 Class A shares for future equity awards and extends the plan to January 20, 2036. This provides a long runway for stock-based compensation, which can align management with shareholders but may incrementally dilute existing holders as awards are granted and vest.

Ratification of Ernst & Young LLP as auditor for the fiscal year ending September 30, 2026 confirms continuity in external auditing. Future proxy materials and equity grant disclosures will show how quickly the new share pool is used and how it affects overall compensation levels and ownership structure.
