Rhea-AI Filing Summary

Flutter Entertainment plc (FLUT) committed to a restructuring plan for its UK & Ireland business in response to increased UK gaming taxes. The plan is expected to reduce headcount by up to 1,400 employees. Affected locations include Leeds and Dublin, as well as UK&I staff at Flutter hubs in Porto and Cluj-Napoca. Employee notifications began October 20, 2026, and the plans are subject to consultation.

Flutter estimates approximately $80 million to $90 million in aggregate pre-tax charges, primarily cash expenditure for severance, benefits and related costs. Certain non-cash stock-based compensation charges are also expected. The estimated costs were included in updated guidance issued with the Q2 earnings update and are expected in fourth-quarter 2026. Flutter expects to substantially complete the plan by the end of 2026, subject to applicable legal and employee notice and consultation requirements. The company says the restructuring is expected to support second-order mitigation benefits while preserving investment in its customer proposition.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Flutter says 9,000 people work in its UK&I business; its restructuring plan is expected to cut up to 1,400 roles, with employee notifications underway and consultation still required—placing the announced ceiling against the stated regional workforce, not a completed headcount reduction.

New York, October 20, 2026: Flutter Entertainment plc (NYSE: FLUT) (“Flutter”) the world’s leading online sports betting and iGaming operator announces the restructuring of its UK & Ireland business in response to the increase in UK gaming taxes announced in the 2025 Autumn budget.

Flutter announced plans today to restructure its UK & Ireland business. This restructuring forms part of the already guided first-order cost mitigation1 in response to the significant increase in UK gaming taxation announced in last year’s Autumn Budget by the UK Government2.

Whilst these plans will be subject to consultation, it is expected to result in up to 1,400 redundancies. The decision will impact colleagues in a number of locations including Leeds, UK and Dublin, Ireland as well as UK & Ireland staff at Flutter hubs including Porto, Portugal and Cluj-Napoca, Romania.

We continue to expect these tax increases to have a very significant impact on the overall market. The restructure announced today is expected to support Flutter in delivering material second order mitigation benefits, by preserving investment in our customer proposition, and underpins our confidence in our ability to gain share.

The associated costs to implement this restructuring of $80m - $90m were captured within the updated guidance issued within Flutter’s Q2 earnings update3 and will be incurred in Q4 2026.

Flutter employs 28,500 people globally including 9,000 who work in the UK & Ireland business.

Kevin Harrington, Flutter UK & Ireland, Chief Executive, commented:

“My immediate focus is providing the necessary support for all of our impacted colleagues and guiding our teams through what we know is going to be a difficult and challenging period for all concerned.

“The material increase in betting and gaming duties announced in the UK Budget last year has fundamentally changed the economic model of the regulated betting and gaming industry in the UK while helping to fuel the unlicensed, unregulated market.

“As we warned a year ago, we cannot fully absorb a rise of this magnitude without reducing our fixed cost base and therefore must restructure our business so that we can best position ourselves for the future.

“We remain confident that we are well placed to benefit from share gains given our position as the largest scale operator in the UK.”

1

In line with previous guidance, the total adjusted EBITDA impact of changes to UK iGaming taxes in 2027 was $540m which we expect to offset with $201m of first order mitigation

2

Effective from April 2026, iGaming increased 19 percentage points to 40 percent. Effective from April 2027, Sports betting (ex-horseracing) increases 10 percentage points to 25 percent

3

At Q2 2026, Flutter increased guidance relating to restructuring, transaction and integration costs to $500m
