How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Adjusted EBITDA financial
"Adjusted EBITDA in the third quarter of fiscal 2026 was $50.4 million"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
net leverage ratio financial
"reduced its net leverage ratio to approximately 2.4x"
The net leverage ratio measures how much debt a company has compared to its available assets or earnings, after accounting for its cash and liquid assets. It helps investors understand how heavily a company relies on borrowed money to finance its operations and growth. A higher ratio indicates greater financial risk, while a lower ratio suggests a more cautious approach to borrowing.
net debt financial
"Net debt, defined as total debt less cash and cash equivalents"
Net debt is the total amount a company owes after subtracting the cash and assets it has that can be used to pay off that debt. It shows how much debt is truly a burden, helping investors understand if a company is financially healthy or heavily borrowed. Think of it like calculating how much money you owe after using your savings to pay part of it.
IEEPA tariff refunds regulatory
"includes approximately $12 million of net sales from the Marucci business"
Refunds under the International Emergency Economic Powers Act (IEEPA) are repayments of import duties, fees, or penalties that were charged because of trade restrictions or sanctions put in place under emergency authority and later reversed, modified, or found inapplicable. For investors, these refunds can change a company’s past cash outflows and future cost structure—similar to getting a billed charge returned after a rule change—affecting reported earnings or cash available for other uses.
Net sales $338.4 million Down 10.1% from $376.4 million in the prior-year quarter
Net loss attributable to FOX stockholders $109.6 million loss Compared with a $0.6 million loss in the prior-year quarter
Adjusted net income $22.7 million Compared with $9.9 million in the prior-year quarter
Adjusted EBITDA $50.4 million Compared with $44.4 million in the prior-year quarter; includes approximately $12 million of IEEPA tariff refunds
Guidance

Fourth-quarter fiscal 2026 net sales of $287 million to $313 million and adjusted EBITDA of $25 million to $30 million. Fiscal 2026 net sales of $1.35 billion to $1.38 billion; adjusted EBITDA of $143 million to $148 million excluding approximately $14 million of IEEPA tariff refunds, or $157 million to $162 million including refunds.

Fox Factory Holding Corp. Reports Third Quarter Fiscal 2026 Financial Results
DULUTH, Georgia, November 5, 2026 - Fox Factory Holding Corp. (NASDAQ: FOXF) (“FOX” or the “Company”), a premium brand and a global leader in the design, engineering and manufacturing of performance-defining products and systems for customers worldwide, today reported financial results for the third fiscal quarter ended October 2, 2026.

Third Quarter Fiscal 2026 Highlights
•Completed the divestiture of Marucci Sports (the “Marucci Divestiture”) on September 25, 2026 with proceeds immediately allocated to debt reduction
•Reduced net debt by $263.5 million since 2025 fiscal year end; reduced net leverage by more than one turn since the end of the second quarter, to approximately 2.4x
•Net sales of $338.4 million, including approximately $33 million of net sales from the Marucci business prior to its divestiture
•Net loss attributable to FOX stockholders of $109.6 million, or $2.61 per diluted share, which includes a $121.3 million loss on divestitures, compared to net loss attributable to FOX stockholders of $0.6 million, or $0.02 per diluted share in the prior year
•Adjusted net income of $22.7 million, or $0.54 per diluted share, compared to adjusted net income of $9.9 million, or $0.23 per diluted share in the prior year
•Adjusted EBITDA of $50.4 million, which includes approximately $12 million of IEEPA tariff refunds, compared to $44.4 million in the prior year
•Updates fourth quarter outlook and narrows fiscal 2026 adjusted EBITDA outlook

Doug Grimm, FOX’s Interim Chief Executive Officer, commented, “This has been a quarter of significant change for FOX, and we have taken decisive steps to position the Company for improved execution. The divestment of Marucci simplified our portfolio, increased our focus on our core product offerings and allowed us to substantially reduce our debt. Our third quarter results reflect the pressures we described in our October update, including a supply disruption in Powered Vehicles, higher input costs and operational challenges in our Aftermarket Applications’ upfit business.”
Mr. Grimm continued, “FOX has great brands, great products and a great team, and I believe there is a significant opportunity to turn those strengths into stronger, more consistent financial results. That starts with how we operate. As ‘One FOX’, we are working business-by-business and plant-by-plant to address the issues within our control, streamline our processes and hold ourselves accountable for results. At the same time, we will continue to prioritize investment in the high-performance products that our customers count on.”

Third Quarter 2026 Results
Net sales for the third quarter of fiscal 2026 were $338.4 million, a decrease of 10.1%, as compared to net sales of $376.4 million in the third quarter of fiscal 2025. This decrease reflects a $24.0 million, or 20.4%, decrease in Aftermarket Applications Group (“AAG”) net sales, and a $19.1 million, or 14.4%, decrease in Specialty Sports Group (“SSG”) net sales, partially offset by a $5.1 million, or 4.1%, increase in Powered Vehicles Group (“PVG”) net sales. AAG net sales decreased from $117.8 million to $93.8 million driven by limited chassis availability for our upfit businesses, macroeconomic conditions impacting dealers and consumers, and the loss of revenues from divested businesses. The decrease in SSG net sales from $132.7 million to $113.6 million primarily reflects Marucci Sports, which contributed approximately $33.0 million compared to approximately $49.2 million in the prior year period, as well as order timing, and channel destocking in our bike businesses in response to market-wide economic conditions. The increase in PVG net sales from $125.9 million to $131.0 million is mainly attributed to strengthening demand in powersports, where net sales increased 28.8% compared to the prior year period, partially offset by lower net sales in our autos-related product lines.
Gross margin was 31.5% for the third quarter of fiscal 2026, compared to gross margin of 30.4% in the third quarter of fiscal 2025. The increase in gross margin was primarily driven by IEEPA tariff refunds, partially offset by shifts in our product line mix and higher external input costs, including freight, commodities, and fuel.
Total operating expenses were $205.2 million, or 60.6% of net sales, in the third quarter of fiscal 2026, compared to $99.4 million, or 26.4% of net sales, in the third quarter of fiscal 2025. Operating expenses increased by $105.8 million, driven by the loss on the Marucci Divestiture, partially offset by our optimization initiatives, including lower general and administrative expense and reduced discretionary spending. Adjusted operating expenses were $68.7 million, or 20.3% of net sales, in the third quarter of fiscal 2026, compared to $85.7 million, or 22.8% of net sales, in the third quarter of the prior fiscal year.
Income tax expense was $1.5 million in the third quarter of fiscal 2026, compared to $2.3 million in the third quarter of fiscal 2025. In the third quarter of fiscal 2026, the difference between the Company’s effective tax rate of (1.4)% and the 21% federal statutory rate was primarily attributable to lower pre-tax earnings for the quarter and the tax effects recognized in connection with divestiture transactions completed during the period.
Net loss attributable to FOX stockholders in the third quarter of fiscal 2026 was $109.6 million, compared to net loss attributable to FOX stockholders of $0.6 million in the third quarter of the prior fiscal year. Net loss per diluted share for the third quarter of fiscal 2026 was $2.61, compared to $0.02 for the third quarter of fiscal 2025. Adjusted net income in the third quarter of fiscal 2026 was $22.7 million, or $0.54 of adjusted earnings per diluted share, compared to adjusted net income of $9.9 million, or $0.23 of adjusted earnings per diluted share, in the same period of the prior fiscal year.
Adjusted EBITDA in the third quarter of fiscal 2026 was $50.4 million and includes an approximate $12 million benefit associated with IEEPA tariff refunds, compared to $44.4 million in the third quarter of fiscal 2025. Adjusted EBITDA margin in the third quarter of fiscal 2026 was 14.9%, compared to 11.8% in the third quarter of fiscal 2025.

First Nine Months Fiscal 2026 Results
Net sales for the nine months ended October 2, 2026, were $1,065.2 million, a decrease of 3.7% compared to the nine months ended October 3, 2025. This decrease reflects a $42.4 million or 10.8% decrease in SSG net sales and a $25.6 million or 7.4% decrease in AAG net sales, partially offset by a $27.1 million or 7.3% increase in PVG net sales. The decrease in SSG net sales from $390.9 million to $348.5 million is mainly due to the Marucci Sports results following the Marucci Divestiture, order timing, and channel destocking in our bike businesses in response to market-wide economic conditions. AAG net sales decreased from $343.8 million to $318.2 million mainly attributed to the loss of revenues from divested businesses and constrained availability of chassis for our upfit businesses, partially offset by increased demand for aftermarket products. The increase in PVG net sales from $371.5 million to $398.6 million is primarily due to strengthening demand in powersports.
Gross margin was 30.3% in the nine months ended October 2, 2026, compared to gross margin of 30.8% in the nine months ended October 3, 2025. The decrease in gross margin is primarily driven by higher external input costs, including freight, commodities and fuel, and shifts in our product line mix, partially offset by cost savings realization and net tariff impact.
Total operating expenses were $408.4 million, or 38.3% of net sales, in the nine months ended October 2, 2026, compared to $558.1 million, or 50.4% of net sales in the nine months ended October 3, 2025. Operating expenses decreased by $149.7 million driven by goodwill impairment of $262.1 million recorded in the first nine months of fiscal 2025 and our optimization initiatives, partially offset by the loss on the Marucci Divestiture. Adjusted operating expenses were $232.7 million in the nine months ended October 2, 2026, compared to $253.6 million in the nine months ended October 3, 2025.
Net loss attributable to FOX stockholders in the nine months ended October 2, 2026 was $120.6 million, compared to net loss attributable to FOX stockholders of $257.6 million in the nine months ended October 3, 2025. Net loss per diluted share for the nine months ended October 2, 2026 was $2.87, compared to net loss per diluted share of $6.17 for the nine months ended October 3, 2025. Adjusted net income in the nine months ended October 2, 2026 was $45.6 million, or $1.08 of adjusted earnings per diluted share, compared to $36.3 million, or $0.87 of adjusted earnings per diluted share in the prior fiscal year.
Adjusted EBITDA in the nine months ended October 2, 2026 was $131.6 million and includes an approximate $14 million benefit associated with IEEPA tariff refunds, compared to $133.3 million in the nine months ended October 3, 2025. Adjusted EBITDA margin was 12.4% in the nine months ended October 2, 2026, compared to 12.1% in the prior fiscal year.

Balance Sheet Summary
As of October 2, 2026, the Company had cash and cash equivalents of $45.4 million, compared to $58.0 million as of January 2, 2026. Inventory was $334.3 million as of October 2, 2026, compared to $388.6 million as of January 2, 2026. As of October 2, 2026, accounts receivable and accounts payable were $177.9 million and $123.0 million, respectively, compared to $190.7 million and $141.4 million, respectively, as of January 2, 2026. Prepaids and other current assets were $92.2 million as of October 2, 2026, compared to $108.4 million as of January 2, 2026. Accrued expenses were $80.3 million as of October 2, 2026, compared to $92.1 million as of January 2, 2026. Total debt was $397.4 million as of October 2, 2026, a decrease of $276.1 million, compared to $673.5 million as of January 2, 2026. Net debt, defined as total debt less cash and cash equivalents, was $352.0 million as of October 2, 2026, a decrease of $263.5 million compared to $615.5 million as of January 2, 2026.
During the third quarter of fiscal 2026, the Company reduced total debt by $270.3 million, primarily funded by approximately $200.0 million of proceeds from the Marucci Divestiture, and reduced its net leverage ratio to approximately 2.4x, calculated as net debt divided by estimated full year 2026 adjusted EBITDA.
The decrease in cash and cash equivalents reflects $280.2 million of net cash used in financing activities, primarily debt repayments, and $14.1 million of capital expenditures, largely offset by $204.9 million of net proceeds from divestitures, and $74.7 million of cash provided by operating activities. Inventory decreased by $54.4 million from January 2, 2026, driven by divested inventory, partially offset by an inventory build to support future demand. Days inventory on hand improved to approximately 122 days from approximately 148 days in the prior year period. Excluding divested businesses, accounts receivable increased due to timing of collections. The decrease in accounts payable reflects the timing of vendor payments and divestitures. The decrease in prepaids and other current assets is mainly attributable to lower prepaid chassis, partially offset by receivables arising from divestitures.

Progress on Phase 2 Profit Optimization Initiative
Fox Factory continues to execute its multi-phase profit optimization strategy targeting approximately $50 million of gross realized savings in fiscal 2026. In the first nine months of fiscal 2026, the Company captured approximately $41 million of gross savings, which were largely offset by external cost increases, including freight, commodities and fuel. The Company expects those external costs to remain elevated as reflected in its fourth quarter outlook. Phase 2 focuses on three strategic elements: business line rationalization to exit operations that are not accretive from a margin perspective; supply chain and materials cost productivity improvements; and reduction in operating expenses across sales, marketing, and G&A functions. The Company continues to evaluate strategic alternatives for other assets to ensure alignment with profitability standards and strategic objectives.

Outlook
For the fourth quarter of fiscal 2026, the Company is updating its outlook provided on October 16, 2026, and expects:
•Net sales in the range of $287 million to $313 million; and
•Adjusted EBITDA in the range of $25 million to $30 million.

For the fiscal year 2026, the Company is narrowing its outlook for adjusted EBITDA provided on October 16, 2026, to account for the year-to-date reported results and its updated fourth quarter expectations:
•Net sales in the range of $1.35 billion to $1.38 billion;
•Adjusted EBITDA in the range of $143 million to $148 million, excluding approximately $14 million of IEEPA tariff refunds received in the second and third quarters; and
•Adjusted EBITDA, including IEEPA tariff refunds, in the range of $157 million to $162 million.

Fourth quarter guidance excludes Marucci. Full year guidance includes Marucci results through the September 25, 2026 closing. Guidance reflects input costs at current levels, including aluminum, steel and freight inflation, and assumes no further increases. The Company has received the majority of the IEEPA tariff refunds it expects, and the outlook does not include any additional refunds.
A quantitative reconciliation of adjusted EBITDA for the fourth quarter and full fiscal year 2026 is not available without unreasonable efforts because management cannot predict, with sufficient certainty, all of the elements necessary to provide such a reconciliation. For the same reasons, the Company is unable to address the probable significance of the unavailable information, which could be material to future results.

FOX includes these non-GAAP financial measures to provide investors with additional insight on the Company’s operating performance and trends, as well as to supplement their understanding of the results of the Company’s core operations. In particular, the exclusion of certain items in calculating the non-GAAP financial measures consisting of adjusted operating expense, adjusted net income and adjusted EBITDA (and accordingly, adjusted operating expense margin, adjusted earnings per diluted share and adjusted EBITDA margin) can provide a useful measure for period-to-period comparisons of the Company’s core business. These non-GAAP financial measures have limitations as analytical tools, including the fact that such non-GAAP financial measures may not be comparable to similarly titled measures presented by other companies because other companies may calculate adjusted operating expense, adjusted operating expense margin, adjusted net income, adjusted earnings per diluted share, adjusted EBITDA and adjusted EBITDA margin differently than FOX does. For more information regarding these non-GAAP financial measures, see the tables included at the end of this press release.
