Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Fort Technology Inc. said it received a Nasdaq notification on October 13, 2026, stating that its common shares did not meet the $1.00-per-share minimum bid price requirement. Nasdaq based the notice on the closing bid price over the 30 consecutive business days from August 31, 2026, through October 12, 2026. Fort received a 180-calendar-day compliance period until April 12, 2027. To regain compliance, its closing bid price must meet or exceed $1.00 per share for at least 10 consecutive business days during that period.

Fort said it intends to monitor its closing bid price and consider available options to regain compliance. It also stated there can be no assurance it will regain compliance or meet other Nasdaq listing criteria.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

A second Nasdaq cure period is conditional and may involve a reverse share split if needed.

The Nasdaq deficiency notice does not immediately change Fort’s listing or trading: its shares continue trading on Nasdaq as FRTT and on the TSX Venture Exchange as FORT.

If Fort does not regain compliance during the first period, it may qualify for a second 180-day period only if it meets the stated market-value and other initial Nasdaq Capital Market standards and gives written notice of its cure intention; a reverse share split is identified as a possible cure if needed.

Minimum bid price $1.00 per share Nasdaq minimum bid price requirement
Noncompliance review period 30 consecutive business days Closing bid price period from August 31, 2026, through October 12, 2026
Compliance period 180 calendar days Granted until April 12, 2027
Compliance deadline April 12, 2027 End of the granted compliance period
Required bid-price streak At least 10 consecutive business days Closing bid price must meet or exceed $1.00 per share during the compliance period
Possible additional compliance period 180 calendar days May be available if Fort satisfies the stated listing conditions and provides written notice of its intention to cure
minimum bid price requirement regulatory
"minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2)"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
180-calendar day compliance period regulatory
"granted a 180-calendar day compliance period"
continued listing requirement for market value of publicly held shares regulatory
"continued listing requirement for market value of publicly held shares"
initial listing standards regulatory
"all other initial listing standards for the Nasdaq Capital Market"
reverse share split regulatory
"by effecting a reverse share split, if necessary"
A reverse share split is when a company reduces the number of its shares outstanding by combining multiple shares into one, effectively increasing the price of each share. For investors, this can help improve the company's image or meet stock exchange listing requirements, but it does not change the total value of their investment. It’s similar to turning many small pieces of a puzzle into fewer larger pieces—nothing new is added or lost, just rearranged.

Fort Technology Announces Receipt of Nasdaq Notification Regarding Minimum Bid Price Requirement

Toronto, Ontario, Oct. 16, 2026 (GLOBE NEWSWIRE) -- Fort Technology Inc. (Nasdaq: FRTT, TSXV: FORT) (“Fort” or the “Company”), today announced that on October 13, 2026, it received a written notification (the “Notification”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company is not in compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2).

Nasdaq Listing Rule 5550(a)(2) requires listed securities to maintain a minimum bid price of $1.00 per share. Based upon the closing bid price of the Company’s common shares for the last 30 consecutive business days, from August 31, 2026 through October 12, 2026, the Company no longer meets this requirement.

Pursuant to Nasdaq Listing Rule 5810(c)(3)(A), the Company has been granted a 180-calendar day compliance period, or until April 12, 2027, to regain compliance with the minimum bid price requirement. To regain compliance, the closing bid price of the Company’s common shares must meet or exceed $1.00 per share for at least 10 consecutive business days during the 180-calendar day compliance period.

In the event the Company does not regain compliance by April 12, 2027, the Company may be eligible for an additional 180 calendar day compliance period if it meets the continued listing requirement for market value of publicly held shares and all other initial listing standards for the Nasdaq Capital Market, with the exception of the bid price requirement, and provides written notice to Nasdaq of its intention to cure the deficiency during the second compliance period, by effecting a reverse share split, if necessary.

The Notification has no immediate effect on the listing or trading of the Company’s common shares on the Nasdaq Capital Market, and the Company’s common shares will continue to be listed and traded on the Nasdaq Capital Market under the symbol “FRTT.”

The Notification relates solely to the Company’s listing on Nasdaq and does not affect the listing or trading of the Company’s common shares on the TSX Venture Exchange, where the Company’s common shares will continue to trade under the symbol “FORT.”

The Company intends to monitor the closing bid price of its common shares and will consider available options to regain compliance with the Nasdaq minimum bid price requirement within the prescribed compliance period. There can be no assurance that the Company will be able to regain compliance with the minimum bid price requirement or will otherwise be in compliance with other Nasdaq listing criteria.
