(b) Resignation of Chairman of the Board
 
Effective as of August 27, 2026, Vincent J. Arnone notified Fuel Tech, Inc. (the “Company”) of his decision to resign from his position as Chairman of the Board of Directors (the “Board”), effective on September 15, 2026. Mr. Arnone will continue to serve as a member of the Board. Mr. Arnone’s decision to step down as Chairman is not the result of any disagreement with the Company, its management, or the Board on any matter relating to the Company’s operations, policies, or practices.
 
(d) Election of Chairman of the Board
 
On August 27, 2026, the Board elected Sharon L. Jones, an existing independent member of the Board, to succeed Mr. Arnone as Chairman of the Board, effective September 16, 2026.
