Rhea-AI Filing Summary

Genius Sports Limited will hold its 2026 annual general meeting on December 8, 2026, at 2:00 p.m. GMT in London and online. Shareholders will vote on seven ordinary resolutions covering the 2025 annual report and audited financial statements, reappointment of Robert Joseph Bach and Claire Linda Nooriala as Class II Directors, appointment of KPMG LLP for SEC and Guernsey statutory accounts, auditor remuneration, and a proposed share-buyback authority.

If approved, the authority would permit market purchases of up to 14.99% of shares in issue, excluding shares held in treasury as of the resolution date. The minimum purchase price would be 1% and the maximum 105% of the average market value over the three Business Days before purchase, excluding expenses. Shares purchased could be cancelled or held as treasury shares; the authority would expire 15 months after approval or earlier at the 2027 AGM.

Maximum purchase price 105% of average market value For the three Business Days before purchase; exclusive of expenses
Price calculation period 3 Business Days Before the day a purchase is made
Repurchase authority duration 15 months From approval, or earlier until the end of the 2027 AGM
Annual general meeting December 8, 2026 Scheduled for 2:00 p.m. GMT
AGM record date October 30, 2026 Close of business
market acquisitions regulatory
"to make market acquisitions"
treasury shares financial
"cancelled or held as treasury shares"
Treasury shares are a company’s own stock that it has repurchased and keeps on its books instead of canceling or leaving in the hands of outside investors. Think of them like coupons a business puts back in a drawer: they don’t vote or receive dividends while held, but they can be reissued later for employee pay or fundraising. For investors this matters because buybacks change the number of shares that count toward earnings and ownership, can boost per‑share metrics, and use corporate cash that might otherwise go to growth or dividends.
Class II Directors regulatory
"re-appointed as Class II Directors of the Company"
quorum regulatory
"The quorum for the AGM is at least two Shareholders"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.
