Rhea-AI Filing Summary

Geospace Technologies Corporation entered into a three-year revolving credit facility with Amerisource Funding, Inc., providing maximum availability of $25 million, subject to a borrowing base. At closing, borrowings under the new agreement refinanced the Company’s $7.5 million outstanding balance under its Woodforest National Bank credit agreement. Geospace repaid all obligations under and terminated the Woodforest facility, which was scheduled to mature August 29, 2028; it incurred no material early termination penalties.

Borrowings accrue interest at the prime rate plus 3.5% per annum, with monthly interest payments. The agreement includes an annual commitment fee of 1.00%, a 0.25% non-usage fee, and early termination fees of up to 3.00% of the total credit facility. It is secured by substantially all of the Borrowers’ assets, except for certain excluded property, and guaranteed by certain subsidiaries. A $65.0 million minimum tangible net worth covenant applies. Certain defaults may result in acceleration, and the obligations may bear interest at a default rate of 18% per annum.

borrowing base financial
"subject to a borrowing base"
A borrowing base is the amount a lender will allow a company to borrow based on the value of assets the company offers as security, typically things like accounts receivable and inventory. It matters to investors because it sets a practical ceiling on short-term financing and influences a company’s liquidity and risk: if the borrowing base falls, the company may lose access to cash or be forced to sell assets, which can affect operations and share value.
commitment fee financial
"1.00% annual commitment fee"
A commitment fee is a charge a lender applies to a borrower for keeping a loan or line of credit available, even before any money is drawn. Think of it as a reservation fee for borrowing power; the borrower pays to ensure funds will be there when needed. Investors care because it adds to a company’s borrowing cost, affects cash flow and liquidity, and can signal lenders’ willingness to extend credit.
non-usage fee financial
"0.25% non-usage fee"
minimum tangible net worth covenant financial
"minimum tangible net worth covenant of $65.0 million"
cross-defaults financial
"cross-defaults to other obligations owed to Amerisource"
