Rhea-AI Filing Summary

Global Interactive Technologies, Inc. (GITS) appointed Amy Shi Executive Chair of the Board effective October 15, 2026. Her service agreement has an initial one-year term, automatically renewing for successive one-year periods unless either party gives 60 days’ written notice of nonrenewal.

Ms. Shi will receive $10,000 per month ($120,000 annually) in cash and an annual equity compensation component with a $250,000 reference amount. Cash compensation will be reviewed six months after the effective date and increase to $20,000 per month ($240,000 annually) on the first anniversary or earlier if approved by the company. She agreed to defer specified cash compensation until the company’s next financing; the Board determines the portion payable afterward, subject to applicable law, and unpaid amounts remain owed. The initial equity award is fully vested upon lawful grant, but implementation is subject to required approvals, sufficient plan capacity, and applicable plan requirements and law. Termination without Cause or resignation for Good Reason entitles her to 12 months of then-current base cash compensation.

Filing Explained

The filing adds fixed past-service pay and preserves accrued director compensation; an initial equity award that cannot lawfully be implemented may become cash.

Under the service agreement effective October 15, 2026, Shi is to receive $75,000 for executive services performed from July 1, 2025 through September 30, 2026, plus $5,000 per month, prorated for partial months, for additional executive services from October 1, 2026 through October 14, 2026.

Ordinary director compensation accrued before October 15, 2026 remains separately payable; no separate director retainer accrues from that date.

If the initial equity award cannot lawfully be implemented by the agreement’s deadline, its undelivered portion is to be replaced with a cash entitlement.

An indemnification agreement is a contract in which one party promises to cover losses, costs, or legal claims that another party might face, acting like a tailored safety net or private insurance policy. For investors, it matters because such agreements shift potential financial risk away from a company or its officers and onto the indemnifier, which can affect a company’s future liabilities, cash flow and how risky the investment appears during deal-making or litigation.
