Filing Explained

The split changes share denomination and trading mechanics, not company value by itself, while implementation remains scheduled for August 19.

As of August 14, 2026, the company says it will implement the 1-for-8 reverse split, with post-split trading scheduled to begin on August 19, 2026; the filing therefore describes a planned consolidation rather than a completed one.

Mechanically, a reverse split reduces the share count and raises the per-share price proportionally; the split itself does not change the company’s value.

reverse share split financial
"it will effect a reverse share split of the Company’s ordinary shares at the ratio of 1-for-8"
A reverse share split is when a company reduces the number of its shares outstanding by combining multiple shares into one, effectively increasing the price of each share. For investors, this can help improve the company's image or meet stock exchange listing requirements, but it does not change the total value of their investment. It’s similar to turning many small pieces of a puzzle into fewer larger pieces—nothing new is added or lost, just rearranged.
fractional ordinary shares financial
"No fractional ordinary shares will be issued as a result of the reverse split"
A fractional ordinary share is a portion of a single common share, like owning a slice of a pizza rather than the whole pie. It gives an investor proportionate economic rights — such as a share of dividends and price gains or losses — allowing smaller-dollar purchases and easier diversification, though practical rights like voting or transferability can depend on the broker or platform handling the fraction.
authorized share capital financial
"the Company’s authorized share capital shall be comprised of 112,500,000 ordinary shares"
The maximum number of shares a company is legally allowed to issue according to its governing documents. Think of it as the size of the blank checkbook a company keeps for selling ownership stakes: it sets an upper limit but does not mean all shares are in circulation. Investors care because a larger authorized amount makes it easier for the company to raise money or grant stock-based pay, which can dilute existing holdings and affect control and value per share.
CUSIP number financial
"The new CUSIP number for the ordinary shares will be M47238205"
A CUSIP number is a nine-character code that uniquely identifies a specific U.S. or Canadian stock, bond, or other security, similar to a barcode or a social-security number for a financial instrument. It matters to investors because it removes confusion between similar securities, ensures trades and settlements are applied to the correct issue, and helps locate official documents and transaction records quickly.
par value financial
"par value NIS 1.80 per share, shall be consolidated into one (1) ordinary share, par value NIS 14.40"
Par value is the fixed amount printed on a bond or stock that represents its original value when issued. It’s like the face value of a coin or bill—what the issuer promises to pay back or the starting price of a stock—though it often doesn’t change with market prices. It matters because it helps determine certain financial details, like how much the company will pay back at maturity.
