Rhea-AI Filing Summary

GameStop Corp. said its warrants to purchase Class A common stock expire at 5:00 p.m. New York City time on October 30, 2026. Each warrant is exercisable for one share at a $32.00 cash exercise price; warrants not exercised by the deadline expire worthless. The warrants will stop trading under GME WS before the market opens that day, while GameStop common stock will continue trading on the NYSE under GME.

Holders unable to deliver warrants on time may use a Notice of Guaranteed Delivery. The completed notice and $32.00 payment per warrant must be submitted before 5:00 p.m. on October 30; holders then have until 5:00 p.m. on November 2 to deliver the warrants. The notice does not extend the exercise deadline. The NYSE told GameStop it intends to file a Form 25 to delist and deregister the warrants.

Notice of Guaranteed Delivery financial
"use a Notice of Guaranteed Delivery"
A notice of guaranteed delivery is a short, written promise used when investors want to sell shares in a tender offer but cannot deliver the physical or electronic share certificates by the offer deadline. It acts like a post-dated IOU: the seller guarantees they will provide the required documents within a short, specified window while still qualifying for the offer’s price and terms. For investors this preserves their right to participate in a deal while giving extra time to complete paperwork, but it also creates a reliance on timely follow-through to receive payment.
Form 25 regulatory
"intends to file a Form 25"
A Form 25 is an official filing with the U.S. Securities and Exchange Commission used to remove a company's stock or other security from a national exchange list. Investors should care because delisting often means less visibility, lower trading volume and wider price swings—similar to a product moving from a major supermarket to a small local market, which can make buying, selling and valuing the security more difficult.
deregistration regulatory
"the delisting of the warrants and the deregistration of the warrants"
Deregistration is when a company officially removes itself from a stock exchange or regulatory list, meaning it is no longer publicly traded. This can happen if the company is shrinking or choosing to go private, and it matters because it changes how investors can buy or sell its shares.
eligible guarantor institution regulatory
"include a Guarantee by an “eligible guarantor institution”"
