EXPLANATORY
NOTE
This
Amendment No. 1 to the Current Report on Form 8-K amends Item 8.01 of the Current Report on Form 8-K filed on June 2, 2025 (the “Original
Form 8-K”), solely to correct the date of the extension granted to the Company by Nasdaq, to July 11, 2025.
No
other changes have been made to the Original Form 8-K.

8.01. Other Events
On
May 30, 2025, the Company received a written notice from Nasdaq granting an extension until July 11, 2025, to regain compliance with
the minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2). The Company intends to actively monitor its bid price and take
all necessary steps to regain compliance within the compliance period.
